About the Role:

The firm is seeking a Senior Corporate Finance Attorney with 6 years of experience to join the debt finance section of its corporate group. This opportunity is available in the Denver Los Angeles and New York offices.

This role offers the opportunity to work on sophisticated debt financing transactions for prominent lenders and borrowers while taking on significant responsibility in transaction management negotiations and client strategy. The ideal candidate will be comfortable leading complex matters coordinating cross-functional teams and managing transactions with minimal supervision.

• Representing lenders and borrowers in complex debt financing transactions
• Negotiating and drafting:
  • Credit agreements
  • Commitment letters
  • Intercreditor agreements
  • Security documents
  • Legal opinions
  • Term sheets
  • Issues lists and related transactional documents
• Leading due diligence teams
• Coordinating with specialist practice groups
• Managing transactions from structuring through closing
• Advising clients on strategic financing matters

Qualifications:

Qualified candidates should have:

• 6 years of experience in debt finance and complex financing transactions
• Significant experience representing lenders and borrowers
• Experience negotiating and drafting:

  • Security documents
  • Intercreditor agreements
  • Legal opinions
  • Term sheets and related financing documents
• Experience leading due diligence teams and coordinating with specialists
• The ability to independently manage matters with minimal supervision
• Strong academic credentials
• Excellent communication drafting analytical and interpersonal skills
• The ability to thrive in a collaborative and team-oriented environment
• Juris Doctor (JD) degree required
