DePuy Synthes is recruiting forCounsel U.S. Commercial Programs. This Hybrid position will be located in Raynham MA New Brunswick NJ Raritan NJ or West Chester PA.
Johnson & Johnson announced plans to separate our Orthopedics business toestablisha standalone orthopedics companyoperatingas DePuy Synthes. The process of the planned separation isanticipatedto be completed within 18 to24 months subject to legal requirements including consultation with works councils and other employee representative bodies as may berequired regulatory approvals and other customary conditions and approvals. Job Overview
This role provides legal support for U.S. commercial programs within DePuy Synthes partnering closely with Sales Marketing and Commercial Operations to enable compliantpatientfocusedgrowth. The Counsel will advise on healthcareand competitionlaws commercial strategy and risk mitigation while helping shape programs that support customers and improve patient outcomes. This is ahighimpactrole offering visibility across the U.S. business and the opportunity to influence how commercialofferingsare designed and executed.
Key Responsibilities
- Providelegal counsel and strategic guidance on U.S. commercial programs including pricing contracting promotions and customer engagement initiatives.
- Advise on compliance with U.S. healthcare laws and regulations (KickbackStatute).
- Review draft and negotiate commercial agreements including customer contracts and program termsconditionsand policies.
- Partner withcrossfunctionalstakeholders (Sales Marketing FinanceHealth CareCompliance) to assess legal risk and develop practicalbusinessfocusedsolutions.
- Support development and implementation of compliant commercial strategies and promotional programs across the U.S. market.
- Serve on pricing and contracting governance committee toprovidelegal guidanceon newcommercial offeringsandreviewexceptions from policy.
- Collaborate with legal colleagues to ensure consistent guidance.
- Contribute to training and education initiatives for commercial teams on legal and compliance requirements.
Qualifications
Education
- Juris Doctor (JD) from an accredited law school (required).
- Admission to practice law in at least one (required).
Experience and Skills
Required:
- A minimum of 3 yearsof relevantcontractinglegal experiencein-house in governmentorin privatepracticewitha focus on healthcare or life sciences mattersor government contracting.
- Strong contract drafting and negotiation skills.
- Experience advising on healthcareregulatory and compliance issues affecting commercial programs.
- Ability to translate complex legal requirements into clearactionableand practicalbusiness guidance.
- Demonstrated ability to work effectively withcrossfunctionalstakeholders in afast-paced environment.
- Effective communication skills and ability to influence and build relationships and consensus.
Preferred:
- In-houselegal experience within a medical devicemedtechhealthcarepharmaceutical or broader life sciences organization.
- Familiarity with device or medtechcommercial models includingvalue-basedarrangements and customer programs.
- Experience supporting sales marketing or commercial operations teams.
- Prior experience working with or advising on governmentcontractingpricing orreimbursementrelatedprograms.
Other
- Language: English (required).
- Travel: Up to 1015% domestic travel as business needs require.
- Certifications: Nonerequiredbeyond bar admission.

$122000.00 - $212750.00Additional Description for Pay Transparency:
Subject to the terms of their respective plans employees are eligible to participate in the Companys consolidated retirement plan (pension) and savings plan (401(k)).This position is eligible to participate in the Companys long-term incentive program.
Subject to the terms of their respective policies and date of hire employees are eligible for the following time off benefits:
Vacation 120 hours per calendar year
