About the Role:
This is an opportunity to join a sophisticated in-house legal team supporting a publicly traded organization. As Corporate Counsel you will play a key role across a wide range of legal matters including securities offerings SEC reporting corporate governance M&A financing transactions and commercial contracts.
You will work closely with senior legal leadership and cross-functional teams gaining direct exposure to high-value transactions and strategic initiatives. This role is ideal for an attorney who is looking to transition into or grow within an in-house environment while working on complex high-visibility matters.
Key Responsibilities:
Support public securities offerings including preparation and review of offering materials and coordination of due diligence processes
Assist with financing transactions including portfolio-level and structured debt deals
Review and analyze contracts to ensure compliance with corporate legal standards
Review press releases and investor communications for legal accuracy
Draft board meeting materials including minutes consents and governance documentation
Assist with due diligence for M&A transactions real estate acquisitions and joint ventures
Prepare and review SEC filings including Forms 8-K 10-Q 10-K proxy statements and beneficial ownership filings using EDGAR systems
Collaborate cross-functionally to gather information and ensure timely project execution
Manage multiple priorities while maintaining high standards of accuracy and turnaround time
Act as a corporate generalist supporting a broad range of legal matters
Qualifications & Requirements:
4 6 years of relevant experience in a corporate legal department or top-tier law firm
Strong experience drafting and reviewing SEC filings (Forms 8-K 10-Q 10-K 3 4 5 and proxy statements)
Experience with corporate governance documents including board minutes and consents
Excellent attention to detail and commitment to high-quality work
Strong written and verbal communication skills with the ability to simplify complex legal concepts
Proven ability to manage deadlines in a fast-paced environment
Highly organized with the ability to multitask and work independently
Team-oriented with a proactive and ownership-driven mindset
Proficiency in Microsoft Word and Excel
Experience with EDGAR or similar filing systems
Real estate or financial statement knowledge is a plus
Education & Experience:
Juris Doctor (JD) from a top-tier law school
Licensed and in good standing to practice law in California
4 6 years of professional legal experience
