Job Description
Draft corporate documents including articles of incorporation bylaws operating agreements and stock certificates
Prepare corporate entity documentation including foreign qualification filings
Handle corporate and UCC filings with various states
Perform online searches of state and federal lien and litigation databases
Assist with mergers and acquisitions financings and other business transactions
Organize and maintain corporate records and transaction documents
Support attorneys with document management due diligence and closing-related tasks
Work independently while collaborating closely with attorneys and team members on active matters
Qualifications
2 years of corporate or transactional paralegal experience
Associates or bachelors degree in paralegal studies or equivalent relevant experience
Strong proficiency with Microsoft Office and document management systems
Ability to work independently with minimal oversight
Strong attention to detail and organizational skills
Strong written and verbal communication skills
Ability to collaborate effectively in a team environment
Experience with corporate filings UCC filings and transactional support strongly preferred
