Job Description:
- Prepares and reviews SEC filings including Forms 10-K 10-Q 8-K proxy statements and Section 16 reports.
- Ensures compliance with federal securities laws stock exchange rules and internal disclosure controls.
- Provides legal support for finance transactions including credit agreements and debt offerings.
- Drafts reviews and negotiates corporate and commercial agreements.
- Monitors regulatory developments and assists in implementing compliance updates.
- Supports corporate governance and subsidiary management.
- Collaborates with internal teams to maintain strong SOX compliance and disclosure controls.
- All other duties as assigned.
Required Skills and Education
- J.D. Degree from an accredited law school; admission to practice in Michigan.
- 3-5 years of relevant experience preferably with a mix of law firm and in-house roles.
- Strong knowledge of public company reporting securities regulations and corporate governance.
- Excellent drafting and organizational skills with attention to detail.
- Ability to manage multiple priorities and meet deadlines.
- Strong analytical skills and ability to work collaboratively with cross-functional teams.
