WHY THIS ROLE IS IMPORTANT TO US

SimCorps Corporate Legal Team in Group Legal supports the global SimCorp organization in legal matters. We are looking for a skilled and committed full-time team member to work closely together to support us in providing advice in a commercial and exciting environment to enable the SimCorp business to operate even more efficiently. Ideally you have a couple of years of experience after graduation as .(jur.) or similar.

You will be joining the Corporate Legal Team in Group Legal. We also work closely together with employees from both the rest of Group Legal and Contract Management as well as other parts of the organization including employees in our procurement team executive management team and local managers.

We take pride in contributing to the growth of SimCorp with high quality work but we also have a very collaborative way of working together where humor is always a big part of our cooperation. Within the team we actively use AI to enhance both our project work and daily operations enabling us to deliver faster and more effectively. Also we continually strive to improve our AI skills by attending trainings and staying curious about new developments ensuring that we remain efficient and wellprepared for the opportunities ahead.

WHAT YOU WILL BE RESPONSIBLE FOR

SimCorps main product SimCorp Dimension is one of the worlds leading investment management software solutions used globally by international financial institutions and equity funds.

SimCorp was acquired by Deutsche Börse December 2023 and the Axioma Group was merged into SimCorp. Further SimCorp has over the years completed several acquisitions and is continuously expanding across the world. This requires worldclass corporate and compliance focus while at the same time ensuring the corporate organizational structure is effective.

As our new Junior Legal Counsel your main focus will be on corporate matters and commercial contracts as further described below:

• Assist with the establishment of new legal entities and mergers or liquidations of existing legal entities.
• Register changes in board and management in the 35 SimCorp group entities across the world.
• Assist with servicing our management by preparing board and management meetings
• Ensure compliance on corporate matters worldwide including answering KYC and due diligence forms from vendors and customers globally.

• Contribute to the establishment and continuous refinement of vendor contracts
• Cooperate with group procurement in connection with negotiating and drafting different vendor agreements.
• Assist with resolving issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries through day-to-day advice.
• Provide ad-hoc advice on various legal matters such as intellectual property rights regulatory compliance corporate law and various other areas of law.

WHAT WE VALUE

• Have a masters of law () or business administration and commercial law (jur.)
• Have experience with corporate and contract law from an international organisation
• Have skills or interest in working with corporate law in a global and complex company structure
• Are good at organizing and planning
• Are curious and able to quickly grasp new concepts
• Have proficient English communication skills both verbally and in writing as SimCorps corporate language is English
• Are able to manage tasks on your own but enjoy being part of a team
