The Role
Our client is seeking an experienced Senior Corporate Legal Assistant / Paralegal to join its busy Corporate & Securities practice in downtown Vancouver.
This role supports lawyers on mergers and acquisitions financings securities disclosure and board and governance matters and requires a strong understanding of corporate procedures regulatory filings and transactional documentation. The successful candidate will be detail-oriented proactive and comfortable managing multiple files and deadlines in a fast-paced corporate environment.
Key Responsibilities
Assist with corporate transactions financings reorganizations and closing documentation
Prepare securities filings including prospectuses annual reports and management information circulars
Draft corporate minutes resolutions and governance documentation
Prepare documentation relating to incorporations amendments share transactions and corporate changes
Draft closing agendas closing books and reporting materials
Complete corporate and PPSA filings
Conduct corporate and related searches
Manage file organization filing deadlines and document tracking systems
Assist with billing and invoicing
Draft correspondence and support general corporate practice needs
Qualifications
5 years of experience as a Corporate Legal Assistant or Paralegal
Exceptional attention to detail and strong organizational skills
Excellent written and verbal communication skills
Strong experience with SEDAR filings and securities-related documentation
Proven experience drafting corporate minutes resolutions and governance documentation
Solid understanding of BC corporate procedures and regulatory filings
Ability to manage files and deadlines independently in a transactional practice
Experience with time entry and billing processes in a legal environment
Compensation
The salary range for this position is $80000 $110000 depending on experience along with a competitive benefits package.
