Senior Corporate Paralegal
Our client is a Canadian-based geoexchange utility provider with over 30 years of experience delivering integrated energyefficient heating and cooling solutions across North America. They are seeking a Senior Corporate Paralegalwho will play a key role within the organization operating with a high degree of independence while managing corporate governance entity management contract administration and legal operations support.
This position serves as a trusted partner to senior leadership and business stakeholders and acts as a primary liaison with external legal counsel. The ideal candidate is an experienced corporate paralegal who is proactive highly organized and comfortable anticipating legal needs while implementing efficient and scalable processes.
Key Responsibilities
Corporate Governance & Entity Management
- Independently manage Canadian and U.S. corporate and related entities including formations dissolutions annual filings and ongoing corporate maintenance
- Maintain corporate minute books governance records and ownership documentation
- Prepare board and committee materials including resolutions written consents and meeting documentation
- Coordinate governance processes and ensure compliance with statutory and corporate formalities
Contract Management
- Manage the full contract lifecycle including intake coordination of review execution tracking and archiving
- Draft and review routine commercial agreements such as NDAs vendor agreements consulting agreements and amendments using approved templates
- Act as a key point of contact for internal stakeholders on contract processes and requirements
- Develop improve and maintain contract management workflows and systems
Legal Operations & Compliance
- Develop and maintain legal processes documentation standards and internal procedures
- Support the implementation and administration of document and contract management systems
- Monitor regulatory and compliance requirements and assist with internal policy development and implementation
- Track legal budgets review outside counsel invoices and assist with legal spend reporting
General
- Serve as a liaison between outside counsel and internal teams on ongoing legal matters
- Support special projects and legal initiatives as required
Qualifications
- Bachelors degree and/or Paralegal Certificate from an accredited program
- 7 years of corporate paralegal experience ideally including in-house experience
- Demonstrated ability to independently manage corporate governance and entity management
- Strong knowledge of commercial contracts and corporate legal documentation
- Experience working directly with senior leadership and cross-functional teams
- Excellent organizational project management and problem-solving skills
- High level of professionalism and discretion when handling confidential information
Preferred Experience
- Experience with entity management platforms
- Exposure to legal operations tools or process improvement initiatives
- Experience supporting cross-border legal matters (Canada / U.S.)
- Background in real estaterelated matters including title easements leases or secured financing (an asset not required)
