Job Description:
A Company Secretary (CS) is
a senior legally qualified compliance officer responsible for ensuring an organization adheres to legal ethical and regulatory frameworks. They act as the primary advisor to the Board of Directors on corporate governance manage board meetings maintain statutory records and facilitate communication between shareholders and the board.
Key Responsibilities
- Corporate Governance & Advisory:Advising the Board on their legal duties best practices in governance and compliance with statutory requirements.
- Meeting Administration:Organizing preparing agendas attending and taking minutes for board meetings committee meetings and Annual General Meetings (AGMs).
- Regulatory Compliance:
Ensuring timely filings with government authorities (e.g. Registrar of Companies SEBI
Companies House) and maintaining statutory registers.
- Legal & Corporate Affairs:Vetting contracts agreements and legal documents and monitoring changes in relevant legislation.
- Stakeholder Management:Liaising between management shareholders regulators and external advisors.
Required Skills and Qualifications
- Education:A professional qualification as a Company Secretary (e.g.ICSIin India) or a similar governing body often with a law or commerce degree.
- Knowledge:Deep understanding of corporate laws securities regulations and compliance standards.
- Skills:Exceptional communication meticulous attention to detail high ethical standards and proficiency in handling confidential information.
Key Performance Indicators (KPIs)
- Zero non-compliance penalties.
- Timely filing of statutory returns (e.g. ROC filings).
- Efficient organization of board meetings and prompt distribution of minutes.
