Role Required

The Minister of Treasury Board and Finance is seeking applications from individuals interested in serving as an Independent (part-time) Member of the Alberta Securities Commission (ASC).

Location

The ASC is located at 250 5th Street Calgary Alberta.

Monthly Commission meetings as well as adjudicative panel hearings are typically held in person at the ASCs office in Calgary.

About the Agency

The ASC is the industry-funded regulatory agency responsible for administering the provinces securities laws including the Albertas Securities Act the Securities Regulation ASC rules and national and multilateral instruments enacted across the country. It is entrusted with fostering a fair and efficient capital market in Alberta as well as with protecting investors.

The ASC is responsible for the enforcement of provincial securities laws and adjudication of allegations of breaches of securities laws in the Province. Independent Members participate in adjudicative panels which address allegations against and adversarial proceedings between participants in the Alberta capital market.

The ASC follows a 12- member structure nine part-time members and three full-time members (the Chair and two Vice-chairs)

Role Description

The Members of the ASC (i) act as the board of directors of the ASC in overseeing management (ii) function as adjudicators of applications disputes and enforcement proceedings before the ASC (iii) approve recommendations for amendments to Alberta securities laws in support of ASC and Canadian Securities Administrators policy initiatives and (iv) provide strategic input and guidance on operational and policy matters

The Members have an adjudicative function. They are empowered to grant discretionary exemptions from the requirements of Albertas securities laws hear contested proceedings between participants in the Alberta capital market and constitute panels to adjudicate allegations by ASC Staff of breaches of securities laws.

At their monthly meetings the Members consider recommendations from ASC Staff with respect to new or revised policy and regulatory initiatives. The ASC may be the principal regulator having primary responsibility for the initiative or project or it may be partially or fully reliant on the efforts and recommendations of its counterparts in other provinces or territories.

Members receive presentations from those self-regulating organizations over which the ASC has oversight responsibility at least once per year and receive the reports and recommendations of Staff resulting from annual audits of those organizations.

Members oversee the management of the business of the ASC budget business plans strategic plan operational affairs ASC policies operational governance and the workplace environment of the ASC.

Members are appointed for a three-year term that may be renewed.

Skills and Experience Required

The following criteria will be considered when evaluating a potential candidate:

  • practical and educational background in business finance or information technology;
  • experience as a C-Level executive at a public company or other significant entity;
  • experience in overseeing technology system projects;
  • strong knowledge of the structure and functioning of the Alberta and other Canadian and international capital markets;
  • deep experience in capital formation and mergers & acquisitions;
  • experience in analysis and decision making; and
  • attributes of practicality common sense integrity and excellent communication.

All candidates must have a strong connection to Alberta and be both willing and able to devote required time to ASC activities including preparing for and attending monthly meetings of the ASC in Calgary and sitting on panels of Members charged with the adjudication of contested proceedings.

Remuneration and Time Commitment

Independent Members receive an annual retainer and a per diem fee for attendance at meetings of the ASC or of Committees of the ASC.

Independent Members receive a per diem amount for attendance at adjudicative hearings and are compensated on an hourly basis for related preparation and decision writing.

Members generally meet once per month. Materials are uploaded onto the board software system/portal at least one week in advance of the meeting to allow for sufficient time for review.
