The International M&A Corporate Lawyer will be responsible for managing all catalogue acquisition processes within LATAM ensuring efficient and legally sound execution of transactions.
The role requires strong expertise in intellectual property (IP) laws and M&A transactions with a focus on supporting the scalability of the business while ensuring adherence to Group legal standards and best practices.
KEY RESPONSIBILITIES
Provide expert legal advice and support throughout all catalogue acquisition processes in LATAM
Draft negotiate and review all legal documents related to catalogue acquisitions including:
Non-binding offers (NBOs)
Asset Purchase Agreements (APAs) and IP-related representations and warranties
Ancillary documents and closing documentation
Conduct and oversee legal due diligence processes independently or in collaboration with external legal advisors with a strong emphasis on IP and content rights
Support closing and post-closing activities including warranty claims and M&A-related litigation
Collaborate with Central Legal & Business teams to scale the catalogue acquisition business in the LATAM
Address and discuss:
any material deviations from existing templates
any potential legal / IP risks and mitigation recommendations with Central Legal
Develop and maintain local contract templates aligned with local legal requirements to enhance speed scalability and cost efficiency while managing risks
Build and maintain up-to-date local legal intelligence on IP law and relevant regulatory developments
Qualifications :
Masters degree in Business law with combined expertise in Intellectual Property and M&A
3 to 5 years of experience within law firms and/or as in-house counsel with a proven track record of IP/content rights-related transactions
Strong problem-solving mindset with appetite for corporate law and transactional dynamics
Excellent analytical negotiation and communication skills with the ability to influence and collaborate effectively with diverse stakeholders
Fluency in English (spoken and written) required
