We are looking for a disciplined results-driven Associate Commercial Counsel to join our Legal Department as a SaaS and partnership expert. If you thrive in a fast-paced high-volume environment and love the chess match of a complex contract negotiation this is your next career move.
This role is will by hybrid working on-site in our Dallas-area office three days per week.
Essential Functions
As our Associate Commercial Counsel you will act as a strategic advisor and expert service center. You wont just be reviewing paperyou will be partnering directly with our Sales Partnerships Finance and Product teams to minimize risk while driving growth.
Partner with Partnerships Sales Finance and other Emburse teams for the drafting review and negotiation of contracts and amendments to existing contracts with software reseller and referral partners as well as fintech and other strategic partners
Provide advice and guidance on risks and suitability of contracts toward the attainment of company goals
Verify and update contract templates to ensure they meet high levels of quality and accuracy as well as industry standards and best practices
Draft review and negotiate vendor agreements NDAs and DPAs
Education and Experience
Education:
Required: J.D. from an ABA-accredited school and bar membership in at least one U.S. jurisdiction
Experience: 3-5 years of relevant in-house or law firm experience
Additional Eligibility and Qualifications
Strong written and oral communication skills
Ability to prioritize multiple tasks
Positive attitude and interpersonal skills that will foster teamwork and effective working relationships
Familiarity with and interest in technology and software-related concepts (SaaS in particular) and software reseller agreement
Results-driven; able to work in a fast-paced deadline-oriented global environment
Understanding of and experience with the B2B payments industry and payment processing contracts is not required but will be a plus
Ability to summarize key legal and business issues and propose practical alternatives
