Legal Counsel Private Company Services
The FMR LLC Legal Department is seeking to hire an experienced attorney to join the Fidelity Legal Team with a focus on Fidelity Private Shares LLC (FPS). FPS provides capitalization table management and other administrative services to private companies and their equity compensation plans.
The Expertise Were Looking For
J.D with 5-8 years experience with a law firm or in-house legal department with a practice that focuses private markets and/or equity compensation.
Experience with the Securities Exchange Act of 1934 the Securities Act of 1933 and related SEC rules and regulations as they relate to private markets is strongly preferred.
Experience with corporate equity compensation plans restricted stock and stock options
Experience with investment advisers and venture capital funds.
Experience with software as a service.
The Purpose of Your Role
As an experienced attorney you work independently counseling the business regarding expansion of private market service offerings with a particular focus on FPS. The position requires the attorney to understand and apply the full range of federal and state securities laws and regulations governing broker-dealer investment advisory and wealth management businesses.

Subject matter expertise in private company and equity compensation regulation.
Working knowledge of related investment adviser and retirement law regulations.
Knowledge of software-as-a-service provider models.

The base salary range for this position is $00 USD per year.Placement in the range will vary based on job responsibilities and scope geographic location candidates relevant experience and other factors.
Base salary is only part of the total compensation package. Depending on the position and eligibility requirements the offer package may also include bonus or other variable compensation.
