Legal Counsel Private Company Services

The FMR LLC Legal Department is seeking to hire an experienced attorney to join the Fidelity Legal Team with a focus on Fidelity Private Shares LLC (FPS). FPS provides capitalization table management and other administrative services to private companies and their equity compensation plans.

The Expertise Were Looking For

• J.D with 5-8 years experience with a law firm or in-house legal department with a practice that focuses private markets and/or equity compensation.

• Experience with the Securities Exchange Act of 1934 the Securities Act of 1933 and related SEC rules and regulations as they relate to private markets is strongly preferred.

• Experience with corporate equity compensation plans restricted stock and stock options

• Experience with investment advisers and venture capital funds.

• Experience with software as a service.

The Purpose of Your Role

As an experienced attorney you work independently counseling the business regarding expansion of private market service offerings with a particular focus on FPS. The position requires the attorney to understand and apply the full range of federal and state securities laws and regulations governing broker-dealer investment advisory and wealth management businesses.

• Subject matter expertise in private company and equity compensation regulation.

• Working knowledge of related investment adviser and retirement law regulations.

• Knowledge of software-as-a-service provider models.

• Excellent presentation oral communication and interpersonal skills.

• Ability to work independently and under pressure on complex legal matters as part of a dynamic and creative team of lawyers in a fast-paced environment.
