Summary
The Paralegal Specialist - Corporate working in collaboration with and in support of the firms strategic initiatives under the supervision of attorneys performs a range of substantive case matter or entity related duties. Prepares drafts of legal and other documents and correspondence for attorney review. Compiles analyzes and summarizes information. Coordinates efforts between attorneys clients outside legal counsel opposing legal counsel other parties and outside vendors.
Location
This position is located in our Reston office and offers a hybrid work schedule.
Responsibilities
Depending on the practice area duties may include the following:
Corporate
Organizes prepares and files a variety of corporate legal documents for transactions (Articles of Incorporation/Organization Amendments state qualifications consents merger documents closing books electronic closing sets initial drafts or certificates shortform closing deliverables and filing annual reports).
Assists with formation of entities such as Corporations LLCs 501(c)(3).
Prepare documents for transactions such as closing statements.
Prepares UCC searches and filings.
Organizes documents and closing books in connection with corporate transactions such as acquisitions and mergers.
Prepares and files annual reports in states where corporations are incorporated and/or qualified to do business.
Assists with basic private company transfer agent functions including stock issuance stock transfers stock option grants and maintenance of stock option plan records in Corporate Focus or other corporate maintenance software.
Assists with due diligence.
Prepares closing volumes including index document assembly binding and final distribution.
Prepares draft documentation for filings with Secretary of State Department of Corporations and other state or federal agencies.
Developments monitors and updates closing checklists.
Performs Blue Sky research and filings.
Performs and maintains capitalization tables as well as stock and options ledgers.
Maintains minute books (hard copy and electronic).
Prepares drafts and files S8 Registration Statements and Section 16 filings.
Manages data rooms and matter file.

Handles substantive projects cases and transactions under the direction of a lawyer. Strong organizational skills demonstrate efficiency within practice areas. Provides guidance and is a resource for new associates. Strong analytical skills with demonstrated ability to anticipate needs and exercise independent judgment for resolution. Conducts fact gathering and analyzes information. Strong writing skills and ability to draft complex legal documents. Excellent verbal written and interpersonal skills required to interact with staff paralegals attorneys and clients on a daily basis. Solid technical skills are necessary to set-up track and maintain matters. Responsibilities will include assisting attorneys in your home office and in offices across the firm. Must be able to manage large volumes of documents and data in order to review organize and maintain document databases and spreadsheets. Ability to locate and research information applicable to a particular matter person regulation transaction through online research document review and due diligence. Anticipates needs of attorneys and exercises sound independent judgment. Possesses advanced knowledge of practice area rules and procedures. Must be able to identify interrelationships among cases statues regulations and other legal authorities. Has a complete understanding of the interdependence of the Firms practice groups. Excellent organizational skills required along with ability to handle multiple projects and assignments at once. Demonstrates initiative and strong analytic abilities on a daily basis. Ability to work effectively in a fast-paced environment. Mentors case assistants paralegals and junior associates. Corporate; Excellent organizational and multi-tasking skills. Understanding of relevant sections of Securities Act of 1933 the Securities Exchange Act of 1934 the California Corporations and the Delaware Corporations Code. Must be able to draft by-laws and prepare stock certificates and assist with Blue Sky research and prepare initial draft of Blue-Sky Memorandum. Must have solid understanding of corporate capitalization.
Minimum Education
Bachelors degree and/or Paralegal Certificate.
Minimum Years of Experience
10 years paralegal experience in a specific practice area of law. Position is responsible for handling substantive projects and cases under the direction of a lawyer. Having substantial expertise in practice is equal to or beyond what would be expected of a junior associate; generally performs with a little supervision.

Physical Demands
Sedentary work: Exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift carry push pull or otherwise move objects including the human body. Work Environment
The individual selected for this position may have the opportunity for a hybrid work arrangement comprised of remote and in-office work the requirement for which will be determined in coordination with the hiring manager or supervisor and may be modified in the firms discretion in the future.

The firms expected hiring range for this position is $60.82 - $80.59 per hourdepending on the candidates geographic market -exempt positions will be paid on an hourly basis and paidovertime in accordance with applicable laws.
