We are seeking a proactive detail-oriented Associate General Counsel to join our legal team. Reporting directly to the General Counsel you will play a critical role in supporting our corporate intellectual property employment and litigation functions. This is a high-impact position where you will provide internal legal guidance on strategic decision-making and ensure the operational integrity of a fast-moving global organization.
Key Responsibilities:
- Contract Management: Draft and review intercompany agreements vendor contracts employment agreements token grants and settlement agreements.
- Operational Support: Track and manage internal legal forms and draft internal memoranda for record-keeping and compliance.
- Due Diligence: Organize and oversee due diligence materials for banks regulators and top-tier service providers.
- Outside Counsel Liaison: Manage and coordinate with external legal partners and litigation counsel to track deadlines and matter progress.
- Special Projects: Assist with corporate governance M&A activity regulatory inquiries and IP matters as required.
Requirements- Education: Juris Doctor (JD) from an ABA-accredited law school or an equivalent degree from a UK or EU law school.
- Experience: 35 years of experience as an associate at a major law firm or within a sophisticated in-house legal department.
- Subject Matter Expertise: Preference for candidates with corporate legal experience and familiarity with standard corporate law concepts documents and procedures.
- Communication: Exceptional professional writing and verbal communication skills; ability to distill complex legal concepts for internal stakeholders.
- Organizational Mastery: Strong attention to detail and the ability to manage complex tasks independently in a high-velocity environment.
- Technical Proficiency: Skilled in internet-based legal research and standard business tools (Microsoft Office Excel) as well as modern collaboration stacks (Notion Slack).
- Adaptability: A willingness to learn new skills and adapt to the evolving technologies of the Web3 and software industry.
