Senior Assistant Company Secretary - London (Hybrid)
Marsh is seeking a skilled and motivated Senior Assistant Company Secretary to join our London-based Secretariat team within a leading multinational organisation. This role will focus on delivering governance advice ensuring statutory compliance and providing comprehensive board and committee support across our UK entities. You will play a key role in supporting complex intra-group transactions and governance projects working closely with senior management and cross-functional teams globally.
We will count on you to:
Prepare and agree agendas for board and committee meetings across a portfolio of UK and overseas companies including FCA-regulated entities
Manage all logistical arrangements for board and committee meetings including coordination with senior management distribution of meeting materials drafting accurate minutes and tracking action items to completion
Maintain statutory records minute books and ensure compliance with statutory requirements
Coordinate the preparation review and approval of annual financial statements for multiple entities
Maintain and update board and committee terms of reference delegated authorities and governance frameworks
Provide governance support for intra-group projects such as liquidations cash repatriation restructuring and capital reorganisations ensuring compliance with multinational regulatory and legal requirements
Manage execution formalities including notarised and apostilled legal documentation
Manage shareholder approvals and corporate governance matters for overseas subsidiaries
Maintain accurate and up-to-date information in the organisations legal entity management system
Support due diligence RFP and KYC processes by providing timely corporate information and documentation
What you need to have:
knowledge of UK company law corporate governance standards and statutory compliance obligations within a multinational environment
Proven experience interfacing effectively with senior management and board members
Excellent written and verbal communication skills with the ability to simplify complex governance and legal concepts for diverse audiences
Excellent technical analytical and problem-solving skills with sound judgment and the ability to manage multiple priorities under pressure
Collaborative and proactive approach with a commitment to personal and team development
Exceptional attention to detail organisational skills and the ability to meet tight deadlines
Educated to degree level or equivalent
Qualified as an Associate Company Secretary (ACG) or equivalent professional qualification
