Job Summary

Were looking for a Contract Counsel based in London and reporting to the General Counsel / Head of Procurement this role will support the end-to-end lifecycle of our commercial agreementsintake drafting negotiation execution amendment and renewalhelping the business move quickly while managing legal regulatory and commercial risk.


Youll partner closely with Legal Procurement/Vendor Management Compliance Information Security (InfoSec) and business stakeholders to deliver timely practical contracting outcomes and maintain high-quality contracting data in our systems.



What you will do

  • Contract drafting & negotiation: Draft review and negotiate a broad range of commercial contracts including vendor/MSAs SaaS & technology agreements professional services/SOWs NDAs and licensing arrangements.
  • Issue spotting & risk mitigation: Identify legal and commercial risks (e.g. data protection information security confidentiality IP liability/indemnities service levels termination) and propose solutions consistent with Hamilton thresholds.
  • Contract lifecycle management (CLM): Manage intake status approvals signature and archiving in the CLM; maintain renewal dates; drive continuous improvements to templates playbooks and workflows.
  • Cross-functional partnering: Coordinate reviews with InfoSec Compliance Finance and Procurement; align vendor due-diligence outcomes and insurance/regulatory obligations into contract terms and schedules.
  • Data protection & privacy: Review and negotiate data processing terms security addenda and transfer mechanisms; ensure alignment with applicable privacy frameworks (e.g. GDPR/UK GDPR) and internal security standards
  • Training & enablement: Contribute to and maintain templates clause libraries and negotiation guides; provide training to business stakeholders on intake quality and playbook use.
  • Metrics & reporting: Track cycle times workload risk exception rates and renewal hygiene; provide periodic reports and insights to improve throughput and reduce friction.


What you require for the role

  • Experience in commercial contracting (in-house Legal Procurement or Legal Operations) ideally in financial services insurance/reinsurance or technology-enabled environments.
  • Knowledge: Solid grasp of commercial terms (IP liability/indemnities confidentiality pricing/fees SLAs termination) privacy/security concepts (DPAs TOMs audits breach notice) and procurement workflows; plus working knowledge of obligations under GDPR/UK GDPR and data protection laws and familiarity with DORA and ICT thirdparty/outsourcing risk.
  • Skills: Clear drafting practical negotiation stakeholder management organization and the judgment to escalate the right issues at the right time.
  • Approachable and able to work independently or collaboratively with other parts of the business where required with an ability to meet deadlines.
  • Ability to work in an international multicultural environment within financial services.
  • A willingness to take the initiative and a proactive approach to problem solving with good decision-making capability.
