At Evotecs headquarters in Hamburg Germany the M & A Team is seeking a highly motivated and dedicated

Manager M&A & Valuation (all genders)

Full-time and permanent

Manager M&A & Valuation is a key contributor within Evotecs dedicated M&A team supporting the execution of strategic transactions and valuation activities across the group. This role combines strong analytical capabilities with hands-on project management to drive high-impact M&A initiatives including buy-side and sell-side deals group valuation processes and strategic financial assessments. Working closely with internal stakeholders and external advisors the Manager will play a central role in shaping investment decisions and supporting the companys growth strategy.

Key Responsibilites:

1. M&A Process

  • Cross functional project management of buy-side and sell-side transactions across the full deal lifecycle reporting to the Head of M&A
  • Own and maintain the financial and valuation models used for deal evaluation investment/divestment cases and scenario analysis
  • Coordinate due diligence activities with internal workstream owners and manage VDR setup
  • Assist in preparing materials for Management Board and Supervisory Board decision-making
  • Liaise with external advisors (investment banks legal counsel) to support contracting and negotiation processes
  • Provide support in integration and separation planning in collaboration with functional teams

2. Group Valuation

  • Maintain and enhance valuation models used for strategic planning and investment decision-making
  • Support quarterly derivation of Group WACC in close alignment with the Treasury team
  • Assist in scenario analysis and valuation assessments for strategic initiatives and partnerships
  • Collaborate with FP&A and Controlling teams to ensure consistency and plausibility of valuation inputs

3. Financial Reporting Valuation

  • Support Group Accounting with valuation models for IFRS goodwill impairment tests and German GAAP investment valuations
  • Coordinate with external advisors on purchase price allocations (PPAs)
  • Ensure alignment of valuation models with the Groups 5-year financial plan
  • Assist in preparing valuation-related materials for financial audits and external reporting
  • Engage in discussions with auditors on any financial reporting valuation performed

Qualifications:

  • Minimum Bachelors degree in Finance Economics or a related field
  • Experience with M&A processes ideally gained through experience in transaction consulting investment banking or corporate M&A
  • Solid background in financial modelling and valuation CVA or CFA qualification preferred
  • Excellent analytical and organizational skills
  • Strong communication skills and ability to work effectively with cross-functional teams and external partners
  • Experience in the biopharma industry or with valuation of pharmaceutical assets is a plus
  • Strategic mindset with hands-on execution capability
  • Proficiency in Excel and Powerpoint as well as ideally Power BI Power Pivot and Power Query
  • Proficiency in oral and written English
