Job Description Summary
In this role the candidate will be responsible for the program management of all DT tasks for the divestitures mergers and acquisitions within the GE Vernova Mergers & Acquisitions team. This includes owning all DT separation and integration activities and TSA management throughout the deal cycle from pre-sign through post-close.
The candidate will handle escalations and engage key stakeholders as needed and will partner with a team of DT functional leads to ensure all aspects of the DT divestiture process are covered and completed.
Job Description
1. Essential Responsibilities
- Own technology M&A readiness and execution across Day 1 Day 30 Day 100 and post-close horizons ensuring secure scalable and value-aligned technology outcomes that support deal rationale and business continuity.
- Lead deep technology due diligence and risk translation converting findings across applications infrastructure data cloud and cybersecurity into clear deal risks mitigation strategies and executable integration or separation plans.
- Drive technology synergy identification and value realization including platform rationalization vendor consolidation cost optimization and modernization opportunities with measurable outcomes tied to deal objectives.
- Define and govern target-state technology architecture and TSA exit strategy ensuring TSAs are outcome-based time-bound and optimized to eliminate stranded costs while accelerating independence or integration.
- Supports Leadership in executing on Business Development (BD) transactions including mergers and acquisitions divestitures equity investments partnerships / alliances and licensing.
- Operate as the primary point of contact for divestitures acquisitions and joint ventures on behalf of GE Vernova DT.
- Leads various phases of the transaction process including analysis of inorganic strategy and markets target identification and screening structuring valuation due diligence negotiation and closing.
- Extensive engagement with GE Vernova BD team and Finance/Sourcing TSA team to manage deal pipeline Non-Disclosure Agreements (NDA) requirements due diligence negotiation and provision/request of information creation of TSA estimates creation of integration/separation project cost estimates.
- Negotiate with counter party on behalf of GE Vernova per the DT M&A Delegation of Authority.
- Ensure wind-down activities across DT are properly managed.
- Ensure no stranded costs to GE Vernova through TSA and Separation cost management while minimizing disruption to the employees (to/from GE Vernovas internal systems and tools) and maintaining business continuity throughout the process.
- Extensive engagement with GE Vernova Finance TSA team to ensure compliance with DT standards.
- Implement program governance and oversight for the deal.
- Work with DT community to define standards to be applicable across multiple acquisition.
- Track and monitor program status and metrics to ensure milestones are met and internal and external delivery commitments are met.
- Lead cross-discipline teams to establish an integrated plan to deliver team commitments. Collaborate with functional owners(s) project technical team(s) project managers within program and interdependencies teams.
- Responsible for owning budget planning resource management and execution timelines. Responsible for managing the selection and contract negotiation for vendors of services that are utilized.
- Leverage deep technology process and domain expertise to drive execution.
- Ensure ongoing communication of progress against program objectives.
- Leverage Lean to collaborate on and drive process improvement for GE Vernova M&A.
Qualifications/Requirements
- Bachelors Degree in Computer Science or in STEM Majors (Science Technology Engineering and Math) or equivalent knowledge or experience.
- Significant experience in leading DT teams in Program Management
- Experience with mergers and acquisitions TSAs (Transitional Services Agreements) and Business Development practices.
- Various experience in Project/Program Management driving cross-functional engagement and benefits leading large and global programs.
- Experience with GE Vernova DT Infrastructure or applications integrations and interdependencies.
- Experience in developing creative solutions to address complex business situations that need input.
- Experience with P&L financials assessment models and financial management of DT budgets.
- The candidate may requires to travel at least 15-20% (including outside of USA) to support M&A activities

For candidates applying to a U.S. based position the pay range for this position is between $154800.00 and $258000.00. The Company pays a geographic differential of 110% 120% or 130% of salary in certain areas. The specific pay offered may be influenced by a variety of factors including the candidates experience education and skill set.
Bonus eligibility: discretionary annual bonus.
