Vanguards Office of the General Counsel addresses a wide range of complex and compelling legal and compliance issues. To continue to support its growing business Vanguard is seeking an Assistant General Counsel Technology and Outsourcing who will provide the organization with legal advice and representation on corporate matters and commercial transactions.
Responsibilities:
Develop and lead the legal strategy for complex technology outsourcing and AI-driven commercial transactions partnering with senior business leaders.
Draft negotiate interpret and advise on various types of high-value procurement agreements involving hosted services and platforms software licensing professional and managed services artificial intelligence and emerging technologies.
Structure draft and negotiate outsourcing arrangements including IT business process and managed services and international strategic engagements and expansions ensuring compliance with regulatory requirements and alignment with Vanguards risk management standards.
Provide proactive guidance on third-party risk data privacy cybersecurity artificial intelligence and regulatory developments affecting technology and outsourcing relationships.
Coordinate and collaborate with subject matter experts within the Office of the General Counsel to seek input on SEC and FINRA compliance IT Privacy HR Tax Litigation and International Legal requirements to determine legal and regulatory requirements that impact Vanguards commercial and corporate transactions.
Drive continuous improvement of contract templates internal processes and negotiation strategies incorporating best practices for technology outsourcing and AI transactions.
Serve as a legal advisor for various teams within Vanguards Finance Division.
Stay abreast of industry and regulatory developments affecting Vanguard and maintain affiliations with relevant industry compliance and risk associations.
Maintain a high level of expertise in transactional law Vanguards business and products and the investment industry.
Qualifications:
Minimum eight years relevant professional experience with significant in-house or law firm exposure to technology outsourcing and AI transactions.
Law degree (JD) and active bar membership required.
In-house experience preferred but not required.
Demonstrated ability to influence senior stakeholders and deliver business-focused solutions in a fast-paced innovative environment.
Exceptional communication negotiation and leadership skills.
Demonstrated track record of providing business-focused solutions that combine excellent judgment creativity awareness of risk and technical expertise.
