The Opportunity

South Bow is seeking a motivated and collaborative attorney to join our legal team. Reporting to the Associate General Counsel & Corporate Secretary this role will focus on corporate law with an emphasis on supporting mergers and acquisitions (M&A) financing and capital markets activity and supporting the related client groups across the organization. The successful candidate will work closely with the corporate legal team and internal stakeholders to provide strategic and practical legal advice that enables business objectives while managing legal risk. This position is open to candidates located in either Calgary Alberta Canada or Houston Texas United States.

What youll do

  • Where appropriate you will work independently and as part of a team to fulfill the specific responsibilities which may include the following:

  • Partner with internal client groups (finance treasury investor relations corporate development tax human resources external affairs etc.) to deliver timely and effective legal support

  • Assist with M&A transactions including NDAs structuring negotiation drafting diligence closings and post-close integrations

  • Support public and private financing activities including debt and equity offerings credit facilities and other financing and capital markets activities

  • Identify and assess legal risks and developing strategies to mitigate risk and protect the Companys interests

  • Oversee legal due diligence for M&A and related activities

  • Advise on applicable governance matters and securities laws disclosure and stock exchange requirements

  • Instruct and direct the activity of external counsel to support complex transactions

  • Act as a trusted advisor by taking ownership of assigned matters fostering collaboration within a small dynamic legal team and influencing outcomes through clear practical legal advice

Minimum Qualifications

  • 5 years of relevant experience in corporate law

  • Juris Doctor (JD) from an accredited law school

  • Legally authorized to work in the United States

Preferred Qualifications

  • Ability to build strong cross functional relationships and influence outcomes through practical business focused legal guidance

  • Strong business acumen with the ability to align legal strategies to South Bows broader objectives

  • Proven problem solving skills and comfort exercising independent judgment and ownership over processes and decisions

  • Demonstrated accountability and commitment to delivering high-quality work within a high performing collaborative legal team

  • Adaptability and willingness to support a wide range of legal matters to contribute to team success

This position requires candidates to:

  • Have current valid authorization to travel internationally (including but not limited to CanadaandUS)

  • Travel to other company locations for temporary assignmentsmeetingsor training (estimated up 5% of work schedule)

  • Successfully complete pre-employmentBankruptcy Credit Civil and Criminal background checks
