About the role
Zoom is looking for a Senior Commercial Counsel (Channel) to join our award-winning and dynamic-legal team. This role has a focus on strategic partnerships (especially telecommunications service providers and carriers) channel programs/incentives and channel agreements. It is an exciting opportunity for an attorney who thrives in a quick collaborative environment. This role will navigate Zooms shift to a channel-first strategy driving strategic deals and supporting cutting-edge innovation. This position reports to Associate General Counsel Commercial (Channel).
What you can expect
As Senior Commercial Counsel (Channel) you will serve as a trusted advisor to Zooms Channel and Partner teams supporting our global partner ecosystem. You will also advise Zooms Strategy/Business Development Organization. You will lead legal support for Zooms Service Provider partner programs this includes drafting reviewing and negotiating a wide range of channel and strategic partnership agreements. This role requires a leadership presence and a mix of legal acumen business judgment and the ability to work cross-functionally.
Responsibilities
Reviewing drafting and negotiating a variety of commercial agreements. Agreements include master partner agreements SaaS channel agreements (reseller and distribution agreements) referral and alliance agreements data processing addenda and agreements and professional services addition to statements of work service schedules support and service level terms and other legal documentation.
Supporting and negotiating strategic partnerships with telecommunications service providers carriers and managed service providers (MSPs) including carrier resale and network-integrated offerings.
Reviewing and assisting in maintenance of Zooms partner program terms to ensure they are clear scalable and enforceable (E.g. program guides participation agreements and incentives - especially those for Service Providers).
Providing practical guidance to business teams on interpreting and applying program terms including dispute resolution and enforcement scenarios.
Working cross-functionally to draft terms for new products and services for channel adoption.
Creating and maintaining playbooks templates and contract workflows to drive efficiency and consistency across the partner ecosystem.
What were looking for
JD from an accredited law school and active membership in at least one US state bar.
12 years commercial transactions experience (which may be a combination of law firm and in-house legal department experience).
Experience advising on or negotiating agreements with telecommunications service providers and carriers including carrier resale or network-enabled SaaS offerings.
Experience with partner program terms policies and guides. Familiarity with channel and partner agreements (reseller distributor referral etc.).
Business judgment and ability to balance legal risk with business objectives.
Excellent communication skills with a focus on building relationships and delivering practical actionable advice.
Ability to manage multiple priorities in an evolving dynamic environment.
Experience supporting SaaS or cloud organizations and related revenue recognition concepts and issues.
Highly responsive with a service-oriented attitude with the ability to give succinct commercially-driven legal advice.
Works well independently and in a multidisciplinary team environment with good organizational and interpersonal skills.
Excellent work ethic and ability to multi-task prioritize and follow-through on numerous projects.
Sense of humor and ability to empathize and resolve conflicts.
Prior in-house experience at a SaaS technology or communications company.
Experience supporting partnerships with global or regional telecommunications carriers or service providers.
Familiarity with carrier-specific commercial regulatory and operational considerations (e.g. SLAs service credits regulatory flow-downs network dependencies).
Knowledge of privacy antitrust competition law and channel compliance considerations.
Experience with artificial intelligence concepts contract provisions and counseling.
This is a hybrid position based out of Zoom US offices in Denver CO San Jose CA or Seattle WA.
Salary Range or On Target Earnings:
Minimum:
$124000.00Maximum:
$271200.00In addition to the base salary and/or OTE listed Zoom has a Total Direct Compensation philosophy that takes into consideration; base salary bonus and equity value.
Note: Starting pay will be based on a number of factors and commensurate with qualifications & experience.
We also have a location based compensation structure; there may be a different range for candidates in this and other locations
