Profile Summary
The Vice President Governance & Office Oversight is responsible for supporting the delivery of the firms EMEA wide strategy through the management of the multiple entity EMEA-wide executive corporate governance framework.
The role holder will work closely with the Head of CAO office and the Head of Governance and alongside other members of the Governance & Office Oversight team. There will also be opportunity to get involved in certain company secretarial tasks.
The role would suit someone with strong governance experience including board or committee support at a financial services firm with a complex structure. There is an opportunity to meaningfully contribute to the development of governance at Mizuho EMEA.
Duties and Responsibilities
- Lead end to end governance support to EMEA executive committees to include:
- Act as the day-to-day governance contact for the committees including the Chairs and committee members
- Agenda preparation to include liaising with colleagues across EMEA
- Committee paper review including the provision of advice on paper contents and distribution
- Preparation of detailed minutes and monitoring of action points
- Arrangement of committee meetings and related pre-meetings
- Preparation of Chair briefing notes and EMEA sub-committee summaries for each meeting
- Annual governance tasks e.g. review of the committee terms of reference preparation of the forward agendas and annual performance reviews
- Manage the EMEA wide executive corporate governance structure. Responsibilities to include:
- Maintenance of the EMEA Executive governance structure and related materials
- Providing advice and guidance to committee secretaries and on committee changes
- Supporting annual governance tasks e.g. terms of reference review and performance reviews
- Lead and support governance office oversight and company secretarial team projects as they arise.
- Lead the preparation of the budget for the CAO department and recharges across the entities. Review monthly cost reports and investigate any discrepancies through to conclusion.
- Using own initiative identify and take ownership of projects to improve processes where possible within the team.
- Handle other governance office oversight and company secretarial tasks as assigned.
Qualifications Skills and Experience
- Proven governance experience supporting executive committees or boards / board committees.
- Experienced working in a financial services firm with a complex structure.
- High level of computer literacy with skills in data manipulation / presentation and Microsoft Excel.
- Takes ownership with a proactive approach to delivery.
- Excellent communication skills.
- Flexible approach to work and able to juggle competing priorities.
- Company secretarial or legal qualification an advantage.
