You will be working within a dynamic and high-performing global legal team which is growing to keep pace with the fast-paced growth of Third Bridge. As the Legal Counsel based in Mumbai you will be a trusted legal adviser to the business across the Asia-Pacific region combining commercial contract expertise with regulatory compliance corporate governance and legal innovation - transforming legal from cost centre to growth enabler.
Your Responsibilities
Your responsibilities will include but not be limited to:
Commercial Contracting (Primary Focus - 60%)
Drafting negotiating and approving agreements with clients across APAC region (including without limitation client agreements addendums and order forms)
Managing vendor contracts (including without limitation service/staff procurement marketing NDAs property leases and content distribution)
Developing contract playbooks and templates to enable self-service for routine matters
Supporting the commercial team across Asian markets with contract negotiations
Regulatory Compliance (10%)
Advising on financial services regulations securities law market abuse regulations and MNPI handling across APAC jurisdictions
Monitoring regulatory developments across key Asian jurisdictions (particularly India China Singapore Hong Kong Australia) and assessing business impact
Supporting Compliance colleagues with frameworks and processes tailored to regional requirements
Maintaining insurance supporting regulatory filings and enquiries in APAC markets
Advising on data protection and privacy laws across multiple APAC jurisdictions
Corporate Governance (15%)
Managing local companies across APAC jurisdictions and other regulatory requirements
Preparing board papers minutes and resolutions for regional entities
Maintaining statutory registers and corporate records
Supporting corporate transactions including share issuances reorganisations and acquisitions
Ensuring compliance with local company law requirements across the region
Legal Advisory & Cross-Functional Collaboration (15%)
Efficiently responding to both local internal and external legal enquiries across commercial regulatory employment and governance matters
Providing integrated legal advice that balances risk with business opportunity
Working collaboratively with commercial compliance HR and finance teams on a cross-functional basis
Conducting legal research monitoring law updates and analysing impacts on business operations
Providing legal training to regional teams on contract fundamentals regulatory compliance requirements (MNPI expert networks) and corporate governance
Proactively seeking ways to mitigate risks improve efficiencies and implement technology and AI solutions
Working closely with the Global Head of Legal on strategic legal projects and process improvements
Qualifications :
Law degree from a recognised Indian university (LLB/BA LLB/BBA LLB) or equivalent qualification
5-7 years PQE with broad commercial and regulatory experience preferably including experience in a law firm and in-house environment
Regulatory compliance experience in financial services securities law or expert network regulations essential - understanding of market abuse MNPI and compliance frameworks required
Strong contract negotiation and drafting skills with meticulous attention to detail
Multi-jurisdictional experience across APAC region highly advantageous (India China Singapore Hong Kong Australia)
Excellent written and verbal communication skills in English
Comfortable making decisions independently combined with strong commercial awareness and good business judgement to also know when to escalate issues
Experience and knowledge of IP and data protection laws across APAC jurisdictions
Technology enthusiasm and process improvement mindset - eager to leverage legal tech AI solutions and automation
Ability to manage multiple matters across different legal areas simultaneously with strong project management skills
Desire to be challenged and to work independently on complex and time-sensitive projects
Collaborative team player who thrives in fast-paced high-growth environments
