What your future may hold
As a member of the legal team you will accompany Cobepas growth in close collaboration with the Head of Legal & HR Legal Director and Legal Counsel.
You will assit the legal team in providing legal and compliance support to the investment team and contribute significantly to the legal internal corporate and compliance function of the Cobepa group.
Legal support
- Preparing reviewing and/or proofreading legal documents and agreements prior to execution (including engagement letters advisory agreements and others) and taking the lead on the review and execution process of all confidentiality agreements in coordination with external support through Ontra;
- Assisting in drafting corporate documents (minutes resolutions management reports proxies waivers invitations publication forms etc.) related to the meetings of the board of directors and shareholders of group companies short-form agreements and other intra-group documents;
- Assisting with tasks in connection with the signing and/or closing of corporate transactions including incorporation of new companies arranging signatures etc.;
- Ensure that all Cobepa group entities are kept up to date in Corporify with respect to their governance including boards mandates and key corporate data and moniroting the renewal of board and auditor mandates;
- Supporting the maintenance and continuous improvement of the companys employees portal on Corporify ensuring that the legal and HR-related documentation is accurate and up-to-date;
- Assisting in maintaining and tracking legal schedules and calendars;
- Assisting in collecting and processing requested information from portfolio companies for regulatory or reporting purposes;
- Helping streamline legal workflows by integrating automation tools;
- Acting as a liaison between different parties (auditor banks notaries investment team etc.);
- Following up legal and tax formalities (legalization apostille etc.) and publications;
- Assisting in managing insurance policies (D&O updates payments etc.);
- Assisting the HR team with the preparation and management of routine legal documentation related to employment matters;
- Organizing classifying and maintain legal documents and files in the companys SharePoint ensuring folders are complete.
Compliance support
- Helping establishing and maintaining policies procedures and training materials on relevant compliance topics;
- Assisting in upgrading the compliance function in line with best practices;
- Assisting in preparing the notes required for registrations in the UBO register of the Cobepa group enties and track deadlines for the annual UBO confirmation to ensure timely compliance;
- Processing KYC / AML requests from counterparties including updating Cobepas KYC documents;
- Assisting in requesting and reviewing Cobepas KYC requests to counterparties including updating internal reporting;
- Assisting with GDPR compliance tasks including keeping the RoPA (Record of Processing Activity) and other relevant registers updated;
- Reviewing Data Processing Agreements (DPAs) and other contractual provisions for GDPR compliance.
Your skillset
- A Belgian bachelors or masters degree in law and at least a few years of relevant experience (exceptional candidates with no prior work experience can also be considered);
- An excellent command of English and French. A good knowledge of Dutch is a plus.
- A team-player with a positive mindset and good interpersonal skills.
- Able to multi-task accurate reliable and well organized.
- Excellent knowledge of MS Office tools (especially Word Excel PowerPoint and Outlook) and written communication skills.
