- Serve as a key mid-level team member on mergers and acquisitions transactions from LOI/term sheets through closing and post-closing matters.
- Draft review and negotiate purchase agreements merger agreements disclosure schedules ancillary documents and corporate governance materials.
- Support private equity and strategic buyers and sellers on add-on acquisitions carve-outs and other complex transactions.
- Handle general corporate and commercial matters including entity formation operating agreements shareholder agreements and routine corporate housekeeping.
- Coordinate and lead due diligence efforts synthesize findings and help develop practical risk-mitigation and deal-structuring solutions.
- Work closely with partners and clients to manage deal timelines communicate issues and keep transactions moving efficiently to closing.
- Collaborate with colleagues across related practice areas (funds finance tax litigation) to deliver integrated business-focused advice.
Qualifications
- JD from an accredited law school with strong academic credentials.
- 3 years of corporate transactional experience at a law firm; prior experience as a mid-level corporate/M&A associate strongly preferred.
- Significant experience working on M&A deals (buy-side and/or sell-side) including drafting core deal documents.
- Solid grounding in general corporate law entity structures and governance.
- Strong drafting negotiation and analytical skills with excellent attention to detail and judgment.
- Admission to at least one U.S. state bar; ability to work from Stamford CT on a regular basis.
- Team-oriented mindset business acumen and comfort working directly with sophisticated clients.
