Our client a premier AmLaw 50 firm is seeking a driven mid-level Associate Attorney to join its high-performing Debt Finance Practice Group. This is an exciting opportunity to work on complex and high-value debt financing transactions for elite private equity sponsors direct lenders and financial institutions across a wide range of industries and deal structures.

Candidate Profile

• JDfrom atop-tier law schoolwith astrong academic record.
• Active Bar Admission in the relevant jurisdiction in good standing or eligibility to obtain admission promptly.
• 35 years of substantive experience representing private equity sponsors banks and/or private credit lenders in connection with leveraged finance transactions.
• Deal Experience: Demonstrated expertise in structuring drafting and negotiating term and revolving credit facilities for leveraged buyouts acquisition financings and corporate growth.
• Documentation: Strong proficiency in drafting and negotiating commitment letters credit agreements and collateral documents.
• Prior experience at an AmLaw 100 or similarly sophisticated firm preferred.
• Soft Skills: Excellent communication organizational and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced high-performance environment.

Key Responsibilities

• Represent private equity sponsors and financial institutions in sophisticated debt finance transactions including leveraged buyouts dividend recapitalizations and other acquisition financings.
• Draft negotiate and manage key financing documents such as commitment papers credit agreements and security agreements.
• Advise clients on structuring and execution of senior mezzanine and unitranche facilities.
• Collaborate with colleagues across the firms private equity M&A tax and restructuring teams to deliver comprehensive transactional support.
• Serve as a key contributor throughout all stages of transactionsfrom term sheet negotiations through closing.

Compensation & Benefits

• Competitive Compensation:Annual base salary is expected to range from$260000 $365000 depending on experience qualifications and market factors.
