Job Summary

Key Responsibilities

Corporate

  • Oversee and monitor Board of Directors activities ensuring strict compliance with all statutory guidelines the Companies Act and relevant laws governing corporate governance.
  • Ensure timely convening and lawful conduct of the Annual General Meeting (AGM) and other statutory meetings adhering to prescribed timelines and legal requirements.
  • Oversee accurate and timely filing of all statutory returns and regulatory submissions (including those to MCA and other regulators) rigorously monitoring deadlines to mitigate compliance risks.
  • Organize and administer Board and committee meetings end-to-end issue meeting notifications prepare agendas draft resolutions record and finalize minutes and coordinate access to records for internal and statutory auditors or inspectors.

Employment

  • Provide expert legal advice on recruitment onboarding performance management employee exits benefits and contractual workforce matters.  Monitor labour law developments in APMEA locations where Freshworks has personnel and advise the business on these developments with practical solutions.
  • Draft review and update employment agreements offer letters separation agreements and HR policies in compliance with Indian and global employment laws.
  • Manage personnel-related investigations and disputes including providing oversight and advice to HR teams. Must have experience with anti-harassment (POSH) processes and committees.  Ensure company-wide legal compliance across labor laws anti-harassment (POSH) anti-retaliation whistleblower and data privacy regulations (such as GDPR and CCPA) as applicable.
  • Partner closely with HR to develop proactive policies conduct legal training and ensure seamless implementation of new regulatory requirements.
  • Support initiatives to drive positive employee relations and engagement upholding an ethical and compliant workplace culture.
  • Collaborate with internal stakeholders to develop and implement scalable best-practice personnel policies processes and training programs ensuring alignment and compliance across all regional HR teams.

Qualifications :

  • Education: LL.B. from a recognized university & Company Secretary (ICSI)
  • Experience: 69 years of post-qualification experience in corporate and employment counsel roles with multinational technology-driven or public listed companies.
  • Expertise: Demonstrated expertise in Indian company law labor and employment law corporate secretarial practices and experience across major international regulatory frameworks.
  • Employment & Governance: Significant experience drafting negotiating and interpreting commercial and employment contracts policies and governance documents. Proven track record supporting board governance statutory compliance and regulatory filings. Exposure to cross-border compliance environments and multi-jurisdictional workforce management.
  • Experience advising leadership and HR teams on employee relations policy implementation investigations and regulatory changes.

  • Proactivity & Ownership: A self-starter who takes initiative anticipates risks and drives results independently and collaboratively.  Proven track record of working effectively prioritizing and managing multiple matters simultaneously in a fast-paced dynamic and highly engaged environment.  Ability to recognize when to ask for help or escalate issues.
  • Adaptability: Agile and resilient in responding to ambiguity evolving regulations and shifting business needs.
  • Attention to Detail: Meticulous attention to detail in drafting reviewing and managing legal documents and processes.
  • Training & Enablement: Experience designing and delivering compliance training policy rollouts or legal awareness programs.
