The Role

We are seeking an experienced Associate to join our Investment Funds & Regulatory practice in Hong Kong. The ideal candidate will have substantial experience in private fund formation and regulatory matters and will advise on a broad range of fund types and transactions across hedge funds private equity infrastructure and crypto funds. The role will also involve representing leading PRC corporates (particularly in TMT) insurance companies financial institutions sovereign wealth funds and family offices.

Key Responsibilities

Advising on formation structuring and regulatory approval of private funds (hedge funds private equity funds infrastructure funds crypto / digital asset funds) in Hong Kong the PRC and other relevant jurisdictions.

Advising on investment transactions by such funds (including upstream/down-stream investments co-investments subscription and side-letter issues manager-investor governance GP/LP arrangements).

Advising clients (such as PRC TMT companies insurance companies financial institutions sovereign funds and family offices) on investing into or establishing funds including regulatory/licensing issues fund-managers obligations cross-border considerations and associated documentation.

Working closely with our broader Hong Kong and Asia-Pacific teams to deliver cross-border fund- and regulatory-related work including interfacing with teams in the US UK Singapore and the PRC.

Conducting legal and regulatory research on new fund-structures (including digital/crypto funds) private fund advisers regimes licensing fund distribution in Asia and mainland China and advising clients accordingly.

Supporting business development initiatives helping to build the firms profile in fund formation/regulatory space in Asia and contributing to client service excellence.

Key Skills and Experience

Admission as a qualified lawyer in Hong Kong (or equivalent common-law jurisdiction) or eligibility to join accordingly.

Post-qualification experience (PQE) of approximately 3-7 years (or commensurate to the complexity of the role) in an international law firm or relevant regulatory/fund-services context with a strong focus on investment funds formation and/or regulatory work.

Demonstrable experience in a broad range of fund types: hedge funds private equity funds infrastructure funds and crypto/digital-asset funds.

Strong regulatory licensing and compliance experience: e.g. fund manager licensing/registration fund adviser regimes distribution of funds in Hong Kong / Asia / PRC and related documentation/regulatory processes.

Experience advising on investments by major financial-institutions/sovereign/family-office investors and/or major PRC corporates particularly in the TMT space insurance industry or financial-services sector.

Excellent English strong drafting review and negotiation skills. Fluency in Mandarin and/or Cantonese is strongly preferred.
