Job Description & Summary
The MIP Advisory business is one of the fastest growing dynamic teams within PwCs Deals offering and is part of the largest management equity advisory business in Europe.
Agreeing and implementing a management equity plan (MIP) being one of the key steps in closing deals and to drive Value Creation under new ownership. The team supports a wide array of private equity clients and management teams across a large number of global pan European and UK domestic deals annually. The team sits within the wider Lead Advisory and Valuations business and is closely integrated with PwC Deals Tax PwC Corporate Finance and PwC Legal as part of a multi disciplinary offering in the MIP space.
Deal doers come to us to obtain advice on MIP design negotiation and implementation for many reasons including to support them in:
Designing and assessing MIPs at the competitive offer stage;
Implementation of MIPs at closing;
Through the cycle MIP valuations for joiner and leaver events and MIP resets;
Vendor assist support and buy side due diligence reviews of third party valuations;
Agreeing and debating valuations with the respective tax authorities;
Expert advice in dispute scenarios; and
Financial reporting MIP valuations.
As commercial deal advisers and MIP valuers we need to fully understand our clients commercial objectives the industries in which they operate and a deep understanding of deal structures. We pride ourselves on being the largest dedicated valuations practice in the UK and the one with the deepest focus on industry specialisms as well as the private equity and sponsor channel as well as a large portfolio of private businesses and corporates.
Our objective is to provide our clients with commercial pragmatic MIP Advisory support that draws on industry insight deal structuring our deep interaction with various tax authorities and is grounded in technical excellence.

Our MIP Advisory team has a fantastic role for a confident commercial and proactive Director. Given the high growth trajectory of the business we are looking for Directors with Partner potential.
Responsibilities include:
- Contribute to the teams strategic vision and transformation journey and help lead a team of 30 individuals.
- Lead on business development activities and win new work in the market.
- Nurture our key client relationships.
- Lead and coach teams to deliver a wide range of commercial MIP Advisory services for our sponsor private business and corporate channels.
- Present sector and technical insight both internally and externally to grow the profile of the team.
Essential Skills and Experience
- Strong PE MIP general private equity and deal structuring experience.
- A strong appreciation of value creation objectives in deals.
- Technical LBO skills and experience in respect of leveraged equity instruments.
- Ideally educated to degree level with ACA (or equivalent) or CFA qualified/part qualified.
