Job Summary

We are currently seeking corporate governance paralegals to join our bench of fully vetted candidates working temporary secondments for our top F100 clients in Chicago.

Responsibilities:

  • Assist clients legal team in drafting and reviewing corporate governance documents including board resolutions bylaws policies and charters
  • Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance
  • Maintain and update corporate records including board and committee minutes shareholder records and other governance-related documents
  • Assist with the preparation and filing of corporate documents including annual reports proxy statements and SEC filings

Minimum Qualifications:

  • 4 years of corporate governance experience gained working as a paralegal in a large corporate in-house environment
  • Strong understanding of corporate governance principles and best practices and familiarity with corporate filings SEC regulations and compliance requirements
  • Proficient in legal research tools databases and related software
  • Open to working in an engagement-based role seconded to clients on a temporary basis for approximately 6 months at a time

Compensation Benefits & Location:

This role offers a range of competitive compensation starting at $80000 and a highly competitive benefits package in the alternative legal services marketplace that includes health benefits 401K and more.
