Job Summary

Pay: $70000.00 - $90000.00 per year

Note: This position offers a hybrid work arrangement. Employees are expected to work on-site at our clients Stamford CT office several days per week with the option to telecommute on other days.

Note: The qualified candidate for this position must have a minimum of 5 years of corporate transactional paralegal experience including mergers and acquisitions and general corporate law support.

Job Description

  • Provide comprehensive paralegal support for corporate transactional matters including M&A venture capital financings and general corporate governance.
  • Draft and prepare formation qualification merger and dissolution documents for corporations LLCs and partnerships.
  • Manage multiple transactional closings and maintain closing checklists signature pages and executed document sets.
  • Prepare and maintain capitalization tables stock ledgers board minutes resolutions and other entity records.
  • Conduct due diligence perform lien and IP searches and prepare UCC filings.
  • Assist with securities filings including Form D and related documentation.
  • Coordinate filings with the USPTO Secretary of State and other agencies.
  • Maintain corporate records and support attorneys with day-to-day transactional needs.
  • Utilize document management systems (iManage Kira Litera Closing Folders).
  • Support additional special projects as needed.

Qualifications

  • Bachelors degree and/or paralegal certificate from an ABA-approved program.
  • 5 years of relevant corporate transactional experience.
  • Demonstrated experience with mergers and acquisitions venture financings and general corporate governance.
  • Strong command of Microsoft Office Suite and document management software.
  • Exceptional organizational and communication skills with strong attention to detail.
  • Ability to manage multiple deadlines and work efficiently under pressure.
  • Flexible schedule with willingness to work overtime when required.
