Job Description
- Provide comprehensive paralegal support for corporate transactional matters including M&A venture capital financings and general corporate governance.
- Draft and prepare formation qualification merger and dissolution documents for corporations LLCs and partnerships.
- Manage multiple transactional closings and maintain closing checklists signature pages and executed document sets.
- Prepare and maintain capitalization tables stock ledgers board minutes resolutions and other entity records.
- Conduct due diligence perform lien and IP searches and prepare UCC filings.
- Assist with securities filings including Form D and related documentation.
- Coordinate filings with the USPTO Secretary of State and other agencies.
- Maintain corporate records and support attorneys with day-to-day transactional needs.
- Utilize document management systems (iManage Kira Litera Closing Folders).
- Support additional special projects as needed.
Qualifications
- Bachelors degree and/or paralegal certificate from an ABA-approved program.
- 5 years of relevant corporate transactional experience.
- Demonstrated experience with mergers and acquisitions venture financings and general corporate governance.
- Strong command of Microsoft Office Suite and document management software.
- Exceptional organizational and communication skills with strong attention to detail.
- Ability to manage multiple deadlines and work efficiently under pressure.
- Flexible schedule with willingness to work overtime when required.
