Job Summary
We are looking for an experienced Russian-speaking lawyer specializing in Special Situations complex corporate matters involving shareholder relations control litigation and risk management. The role requires strategic judgment and hands-on legal expertise to support decision-making and ensure alignment within multi-layered shareholder and holding structures often governed by English law.
Responsibilities:
- Develop and implement legal strategies to protect shareholder and company interests
- Prepare legal positions procedural documentation and evidence for corporate litigation
- Represent the company in court proceedings and supervise external counsel
- Navigate complex shareholder networks and ensure consistent governance and control
- Draft review and amend shareholder agreements voting and ownership frameworks including those governed by English law
- Establish internal mechanisms for resolving sensitive corporate situations and ensuring compliance
- Advise senior management and shareholders on corporate governance structure and legal risks
- Support restructuring and transformation of ownership and holding chains
Requirements:
- 8 years of experience in corporate law litigation or special situations within holding groups investment firms or financial institutions
- Proven record in shareholder-related matters and maintaining governance integrity in multi-jurisdictional structures
- Strong knowledge of corporate commercial and procedural law including practical experience with English law documentation and principles
- Experience managing complex ownership structures and multi-stakeholder decision-making
- Fluent in English and Russian
