Reporting to Five9s Chief Administrative and Legal Officer the Senior Director will be responsible for corporate and securities matters including public company filings securities law compliance capital markets transactions investor relations governance entity management treasury employment matters and other general corporate matters.
Essential Duties & Responsibilities:
- Assist in managing all aspects of public company reporting including 10-Ks 10-Qs 8-Ks and Section 16 filings.
- Lead preparation and analysis of proxy statements related party transactions D&O questionnaires and corporate compliance calendars as well as advise on executive compensation disclosures.
- Advise on corporate governance matters including board and committee support shareholder engagement and sustainability and governance disclosures.
- Oversee Regulation FD compliance collaborate with investor relations on investor engagement and lead preparation for Five9s annual stockholder meeting.
- Oversee administration of Five9s Insider Trading Policy and 10b5-1 plans and oversee preparation of beneficial ownership reports for directors and officers.
- Review external communications including press releases investor presentations and other announcements in collaboration with investor relations and marketing/communications teams.
- Develop and maintain policies and procedures related to securities law compliance and risk management while working closely with internal audit on SOX compliance.
- Assist treasury and accounting teams with credit facilities and other financing arrangements and advise on capital markets transactions.
- Advise on governance trends SEC and Nasdaq regulations and industry best practices preparing insights for presentation to the Nominating and Governance Committee.
- Manage sustainability and governance program initiatives and reporting.
- Ensure compliance with SEC Nasdaq and other regulatory requirements.
- Collaborate with finance investor relations and leadership on disclosure strategy and risk management.
- Provide broad-based legal support across corporate governance subsidiary management employment matters disputes regulatory subpoenas and other general corporate matters.
- Handle special projects as needed adapting to a fast-paced evolving environment.
- Partner with business stakeholders to manage legal risk and enable growth.
Education:
- Degree from an accredited law school and active bar membership.
- Member in good standing with a U.S. State Bar.
Experience:
- 7 years of relevant experience at a law firm or in-house with a strong preference for candidates with significant in-house public company securities experience.
- Deep knowledge of U.S. securities laws corporate governance and disclosure obligations.
- Demonstrated ability to support legal functions in a high-tech environment.
