Job Description:
The successful Associate will be a key contributor to the firmsGovernment Contracts and Grants subspecialty operating at the intersection ofcorporate transactionsandfederal procurement compliance. This role is primarily transactional and advisory focusing on the specialized requirements of companies whose revenue streams involve U.S. government agencies. Core responsibilities include:
- Leadingspecialized due diligenceefforts on behalf of private equity venture capital and corporate clients engaging inM&A activity internal reorganizations or investments in government contractors.
- Analyzing complex federal state and local contractsto identify and mitigate risks related to novations mandatory disclosures and change of control issues.
- Drafting detailed contractual provisions and disclosure schedulesrequired for corporate transactions under the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS).
- Evaluating and advising on the implementation ofrobust corporate ethics and compliance programsuniquely tailored for companies serving government end users.
- Providingstrategic counselon matters concerning internal investigations mandatory reporting and compliance with grant obligations.
Qualifications:
- Juris Doctor (J.D.) degree from anABA-accredited Law School.
- Admission to theDistrict of Columbia Bar(or eligibility to obtain admission promptly).
- A minimum offour (4) to seven (7) yearsof focused experience in Government Contracts Grants or Procurement Law preferably gained at a peer law firm or relevant federal agency.
- Significant demonstrated expertise intransactional due diligenceand the associatedregulatory compliancespecific to mergers acquisitions and divestitures of government contractors.
- Outstanding analytical rigor communication skills and a proven ability to distill complex regulations into actionable client advice.
Preferred Skills:
- Prior experience or familiarity withglobal trade regulationsandexport controlregimes (e.g. ITAR EAR) as they intersect with federal contracting.
- Experience advising clients in theDefense Aerospace Technology or Life Sciencessectors.
- An advanced credential such as a Master of Laws (L.L.M.) in Government Procurement Law or a related regulatory field.
- Familiarity with theCFIUS review processconcerning foreign investment in U.S. companies that hold government contracts.
