OVERALL SAFETY AND HEALTH RESPONSIBILITIES:
- Comply with local governmental HSE regulations with Lesaffre fundamental principles and apply the safety Policy
- Participate in entity safety activities and always show best examples (Rules application PPE wearing perform safety visits accident analysis safety committees)
- Participate actively in the risk assessment of owns job area.
- Follow the safety action plan of own perimeter
- Make safety rules in your perimeter communicate it make sure your team understands and applied them
- Start all meetings (from eight persons minimum) by a safety contact
- Encourage safe acts and discourage each time you see unsafe acts
- Report unsafe conditions / acts and near misses to the managers
- Report within 12 hours all recordable accidents to the next level of management
- Report each month all recordable accidents and first aids happened in your perimeter
- Participate in the target-setting process for the safety KPIs
- Be a part of recognition & sanction program.
- Follow & comply with all other health and safety standards procedures processes and initiatives set by the company.
Key Responsibilities
Contracts
- Drafting reviewing and negotiating a wide range of commercial contracts including sales agreements distribution agreements supply agreements service contracts non-disclosure agreements and other business agreements
- Ensuring contractual terms and conditions are aligned with the companys commercial objectives and risk appetite
- Advising business stakeholders on contractual matters and providing practical solutions to address legal risks
- Creating and maintaining standardized contract templates and clauses
- Supporting the development and implementation of robust contract management processes to ensure proper execution storage and renewal of contracts
- Managing and coordinating external legal advisors assisting in contract review and negotiation
Corporate and JV Matters
- Taking the role of Board secretary when needed of the different joint-ventures entities in Indonesia and Vietnam organize participate and prepare minutes for all the Board/General meetings and other corporate documentation
- Coordinating and supervising the corporate legal support of the legal entities in the South Asia region and any potential future legal entity to be incorporated in South Asia Countries.
- Providing legal support and advice on corporate matters such as entity formations mergers and acquisitions joint ventures and restructurings
- Ensuring compliance with relevant corporate laws and regulations including but not limited to the Company Law Foreign Investment Law and related implementing rules
- Coordinating and supervising the preparation and filing of corporate documents and registrations with local authorities
- Coordinating and supervising all corporate filing formalities including updating articles of association and changes to shareholders/directors/supervisors/general managers
- Advising on the legal management of joint venture operations including compliance partner relations and exit strategies
- Monitoring changes in joint venture regulations and implementing necessary adjustments
- Managing and coordinating external legal advisors assisting in Corporate law
Litigations
- Monitoring different disputes and assisting the trade and finance teams in major debt collection procedures with the support of an external law firm
- Managing litigation and dispute resolution matters including managing external legal advisors who represent the companies in court proceedings arbitrations and administrative proceedings
- Developing litigation strategies and engaging with external counsel as required
- Analyzing legal risks and advising on appropriate courses of action to mitigate dispute
- Coordinating external lawyers assisting the entities regarding litigations on environmental law matters
Legal watch
- Coordinating with external service provider the legal watch and update on laws regulations and precedents
Training
- Assessing the legal training needs of employees and organizing relevant training processes
Qualifications :
Education & Experience
- Lawyer with relevant 7 to 10 years experience preferably in the manufacturing industry and with regional or international experience.
- Good understanding of corporate and contract laws in the southeast Asia region.
- Excellent drafting negotiation and communication skills in English.
- Ability to work independently prioritize tasks and manage multiple projects simultaneously.
- Strong analytical and problem-solving skills with a solutions-oriented mindset
- Proficient in the use of legal research tools and document management systems
- Familiarity with corporate governance best practices and compliance requirements
- Team spirit and ability to build a strong team together with the North Asia In House Lawyer and more generally the Lesaffre Legal Community.
- Regular travel across Asia and occasionally to Europe.
