You will be updated with latest job alerts via emailJob Title Company Secretary Job Synopsis: Company: - Indev Infra Private Limited (Formerly Known as Kerry Indev Logistics Private Limited) Location: - Chennai Experience: - 15 years Job Summary: The Company Secretary Finance & Accounts will play a pivotal role in ensuring end-to-end compliance governance and financial reporting during the companys IPO journey. The ideal candidate will be responsible for statutory compliance secretarial duties and assisting in IPO documentation investor communication and financial readiness as per SEBI and MCA regulations. Key Responsibilities: Ensure compliance with all statutory regulatory and corporate governance requirements under the Companies Act and other applicable laws. Manage end-to-end secretarial functions including convening and documenting Board Meetings General Meetings and Committee Meetings. Handle all secretarial responsibilities related to Initial Public Offering (IPO) processes: Liaising with regulatory bodies such as SEBI ROC Stock Exchanges etc. Preparation and filing of prospectus and related documentation. Coordination with merchant bankers legal advisors auditors and other stakeholders. Lead due diligence processes for corporate actions like mergers acquisitions joint ventures and fund-raising. Oversee documentation and regulatory filings related to fund-raising activities (private equity debt instruments rights issues etc.). Provide legal and strategic advice on mergers & acquisitions restructuring and corporate governance. Prepare and review documents such as share purchase agreements shareholder agreements and other transaction-related documents. Monitor and manage compliance with SEBI regulations Listing Regulations and other applicable laws relevant to a listed entity (if applicable). Maintain statutory registers records and filings in compliance with regulatory requirements. Support leadership in risk assessment and mitigation from a regulatory and governance perspective. Train and guide internal teams on compliance and corporate governance best practices. Qualifications: Member of the Institute of Company Secretaries of India (ACS). Chartered Accountant (CA) or Cost and Management Accountant (CMA) qualification is mandatory in addition to ACS. Experience and Skills: 8-12 years of post-qualification experience preferably in a logistics supply chain infrastructure or related industry. Strong exposure to IPO processes fund-raising M&A transactions and due diligence activities. Deep knowledge of Companies Act SEBI regulations Listing regulations FEMA and other relevant laws. Experience working in a listed company environment is an advantage. Excellent communication and stakeholder management skills. High attention to detail and organizational abilities. Strong drafting and negotiation skills for legal and regulatory documents. Ability to work under pressure and manage multiple priorities. Interested candidates can share their profile to:
