MetaSource is seeking an Associate Corporate Attorney to join our Legal and Compliance Department. Under the direction and support of senior members of our Legal and Compliance Department this role will support all legal aspects of our rapidly growing Business Process Management (BPM) and Digital Transformation business. This role will help with contracts agreements minimize risk support our compliance and litigation matters. The ideal candidate will be a trusted legal advisor with expertise in balancing legal risk with business goals.


Location: Preference will be given to applicants based in Salt Lake City UT. However we will consider remote candidates in the following states: AR AZ FL GA IA ID IL IN KY LA ME MI MO MN MT NC NE NH PA TX VA or WI


Key Responsibilities

  • Contract Management & Negotiation Assists with drafting negotiating and managing commercial agreements. Ensures timely and accurate turnaround to support sales and operations.
  • Enterprise Risk Management Assists with identifying assessing and mitigating risks within the business and helps maintain compliance.
  • Corporate Insurance Oversight Assists with reviewing policies and supports the renewal process.
  • Regulatory & Corporate Compliance Assists with facilitating our internal compliance committees.
  • Other responsible may include supporting corporate governance providing legal advisory support to business units help draft policies and coordinate with external counsel on disputes and litigation.
Requirements
  • Minimum of 5 years of legal experience with a Juris Doctor (JD) degree from an accredited law school with active membership in good standing with a U.S. state bar at a minimum inclusive of admission to the UT state bar.
  • General knowledge of corporate law data privacy IP law employment law and industry-specific regulations (e.g. HIPAA FCRA GLBA GDPR PIPEDA UK DPA TRID US DOT).
  • Experience in contract lifecycle management systems and legal risk mitigation strategies.
  • Experience managing commercial contracts regulatory compliance litigation M&A transactions and corporate insurance matters.
  • Experience in employment law practice advising in-house HR staff is key.
  • Business acumen with the ability to align legal strategies to business outcomes.
  • Excellent judgment negotiation communication and interpersonal skills.
  • High personal integrity discretion and a collaborative can-do/own-it mindset.
  • Strong analytical skills and ability to manage competing priorities in a fast-paced dynamic environment.

Preferred Experience

  • Experience in BPO BPM Digital Technology Financial and or Mortgage industries.
  • Experience managing and responding to due diligence needs both as to client counterparty response and relevant to an effective vendor management program is desired.
  • Experience and conversant with US DOT and applicable state regulation relative to operation of fleet vehicles.
