Job Description

SUMMARY:

The Corporate Paralegal will operationally support the legal department of AGC Biologics in all administrative legal/IP operations and corporate activities. This position interacts with all levels of colleagues and will work closely with all corporate functions on a variety of business assignments.

PRINCIPAL RESPONSIBILITIES:

  • Assist the legal department in the daily management of legal/IP and corporate affairs.
  • Provide operational support for organizing and convening board meetings/ statutory auditors meetings and checking supporting documentation.
  • Manage corporate records including maintaining corporate books collecting signatures drafting calling and review minutes.
  • Coordinate the collection and management of signatures including verifying approvals for corporate documents and contracts.
  • Manage the signature cycle (both manual and digital).
  • Administration of certified email (PEC) privacy and compliance e-mail inboxes.
  • Handle requests for official documents.
  • Manage filings to the Companies Register by coordinating with external consultant to handle filings and obtain corporate documentation.
  • Responsible for internal orderly digital archiving of all legal documentation.
  • Responsible for global contract management and administration of agreements.
  • Manage the administrative aspects verify billed activities (billing narrative) and coordinate with the accounting team for invoice payments.
  • Support the revision of standard corporate agreements such as non-disclosure material transfer agreements vendor agreements and other basic contracts and documentation.
  • Assist in preparing PowerPoint presentations on legal matters.
  • Operationally manage questionnaires and information requests from internal and external stakeholders.
  • Assist IP manager in developing refining and administering IP-related processes and documentation maintaining accurate records of the IP portfolio (patent and trademarks) and related IP contracts.
  • Enter arrange and manage documentation and other data in IP management system and help ensure deadlines are tracked and met and support the preparation of documentation for reporting.
  • Coordinating administrative matters with external IP service providers including for the maintenance of patent portfolio to ensure smooth and efficient communication and billing processes.
  • Support global compliance initiatives and related training such as Information Security Code of Conduct model of organization privacy etc.
  • Assist with a wide variety of administrative issues that directly impact the Legal Department including information gathering and management.
  • Collaborate effectively with other members of the global legal team and cross-functional teams to provide timely and accurate legal support.


KNOWLEDGE / SKILLS & ABILITIES

  • Knowledge of corporate governance practices corporate compliance requirements and the ways of working of a corporate law department within a company.
  • Familiarity with basic agreements (confidentiality/ vendors / MTA) and IP matters.
  • Excellent organizational skills attention to detail and ability to meet deadlines.
  • Proficiency in the Microsoft Office suite particularly Word Excel and PowerPoint.
  • Team-oriented with a practical spirit and able to maintain a high degree of confidentiality.
  • Demonstrated ability to seek improvements to processes/systems and take ownership of projects through to completion.
  • Must provide a high level of customer service and responsiveness.
  • Keen attention to detail.
  • Good knowledge of the English language (written and spoken) is essential.

EDUCATION / EXPERIENCE:

  • 3 years of relevant corporate paralegal or contracting experience in a law firm or in-house corporate setting. Experience in Life Sciences or a relevant industry is a plus.
