Job Description

Mid-to-Senior Level Corporate Associate Startup & Venture Capital (Multiple Locations)

Were seeking a mid-to-senior level corporate associate with 3 to 6 (ONLY) years of sophisticated corporate law experience focused on startups venture capital and emerging-company representation. This role is open in our Bay Area (Mountain View or San Francisco) Seattle Santa Monica New York or Washington D.C. offices.

Key Responsibilities:

Advise technology and life-sciences clients at all stages: seed rounds through IPO and beyond

Lead and support venture financings equity and debt offerings recapitalizations and M&A transactions

Draft and negotiate term sheets subscription agreements stock-purchase agreements and ancillary documents

Coordinate due diligence and counsel clients on corporate governance and compliance matters

Qualifications:

3 to 6 years of corporate or venture-capital experience at a leading law firm or in-house

Bar admission (or eligibility to sit/waive) in the state of your desired office

Superior academic record and outstanding oral written and interpersonal skills

Demonstrated passion for the startup ecosystem and emerging-company representation
