Job Description

Copenhagen Infrastructure Service Company (CISC) - a company working exclusively for the global fund management company Copenhagen Infrastructure Partners (CIP) is currently looking for a Manager to join our office in Copenhagen.

The team

The Transactions team is a highly experienced and specialized team of 7 full time employees and 5 students with diverse educational (commercial financial and legal) and cultural backgrounds working in mature and emerging renewable energy markets and across technologies.

We provide comprehensive support to the CIP funds in all transaction processes (acquisitions divestments restructurings and co-investments) and oversee various workstreams throughout the lifecycle of renewable investments. Additionally we play a pivotal role in managing relationships with our key partners negotiating and managing framework agreements for collaborative ventures.

The role

As our new Manager you will be working in astimulating andrewarding environment with colleagues across the world on a diverse range of contracts and projects as well as with external advisers suppliers and investors.

Key responsibilities will consist of but not be limited to:

  • Managing framework agreements and service level agreements between the various entities of the CIP delivery eco-system and our close service partners
  • Managing and directing specific workstreams in a transaction process e.g. the preparation of draft agreements and/or due diligence
  • Supporting on drafting and negotiating a broad variety of transaction documents such as LoIs NBOs term-sheets share purchase and divestment agreements shareholder agreements financing agreements etc.
  • Preparing sell-side marketing material such as information memoranda due diligence reports and process letters in close cooperation with financial and other advisors
  • Providing overall transaction support and guidance to the CIP partner and investment team responsible for investments
  • Working closely with and managing top tier external stakeholders (legal financial and technical advisors) as well as internal CIP stakeholders across functions
  • Being an important part of an international and collaborative team focused on making projects happen and adding real value to the investment across technologies and geographies

In addition as you obtain more experience you may also participate in other types of M&A processes such as acquisitions and divestments of CIP portfolio companies.

Main interfaces / stakeholders:

  • Project managers of the CIP projects globally
  • CIPs internal legal and tax departments
  • Counterparties within our collaboration partners.

You

You have at least 6 years of full-time experience hereof 2 years of seniority as an Attorney from either a law firm or a legal department in an international environment. Educationally you hold a Master of Law degree and command English on negotiation level.

We look for the following in a candidate

  • Comprehensive analytical and legal drafting skills within international business contracts
  • Close attention to detail and a high level of accuracy
  • Can take ownership of a drafting and negotiation process from start to finish
  • A structured approach towards complex documents
  • The ability to work well with tight deadlines
  • Willingness to work in an international efficient and highly varied environment
  • High proficiency and experience with Word and PowerPoint
  • Experience with M&A transactions is an advantage
  • Organized professional who is comfortable managing and completing workstreams
  • Advanced written and verbal English skills and a solid communicator.
