Position
The Corporate Counsel will play a key role in supporting the companys legal needs with a primary focus on commercial contracts and corporate transactions. This position is ideal for an attorney with 1-3 years of experience in drafting reviewing and negotiating a wide range of agreements and who has supported M&A and other corporate initiatives. The ideal candidate will be business-minded collaborative and eager to grow with a fast-paced organization.
Key Responsibilities
Contract Management
- Draft review and negotiate a variety of commercial agreements including vendor customer SaaS licensing NDAs and service agreements.
- Develop and maintain contract templates and playbooks.
- Provide guidance to internal stakeholders on contract terms and risk mitigation.
Corporate Governance & Transactions
- Support M&A activities including due diligence deal structuring and post-closing integration.
- Assist with corporate governance matters including entity formation board resolutions and compliance filings.
- Coordinate with external counsel on complex transactions and international matters.
Legal Risk & Compliance
- Identify legal risks and propose practical solutions aligned with business objectives.
- Monitor changes in laws and regulations affecting the companys operations.
- Support internal compliance initiatives and training programs.
- Identify patterns and trends to recognize potential problems; appropriately escalate complex legal and factual issues and assist in their resolution.
Cross-Functional Collaboration
- Partner with teams across the organization (e.g. Finance HR Sales Procurement Product) to provide legal support and ensure alignment with company policies in a timely and efficient manner.
- Help build scalable legal processes and tools to support business growth.
Qualifications
- J.D. from an accredited law school and admitted to practice law in Wisconsin.
- Minimum 1-3 years of relevant legal experience preferably with a mix of law firm and in-house experience.
- Strong background in commercial contracts and corporate law including M&A.
- Excellent drafting negotiation and communication skills.
- Ability to manage multiple priorities and work independently in a fast-paced environment.
- Business-oriented mindset with a practical solution-focused approach.

- Experience in a technology SaaS or high-growth company environment.
- Familiarity with property/casualty insurance international contracts and cross-border transactions.
