Joining Tate & Lyle in the UK
Our global headquarters are in a fantastic London location overlooking Hyde Park near Marble Arch. The office is home to our Executive Board and colleagues working across a range of global functions. The majority of the team split their time between home and office. The site is set up to support hybrid working and promote collaboration. It is a progressive workspace with a mix of different areas including meeting pods sofas an outside terrace a quiet library room and a wellbeing space.
Role of the Company Secretariat function
The Company Secretarial function leads develops and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters the team also holds responsibility for managing the Groups stock exchange listing and monitoring and assisting with compliance with related regulations and requirements (Listing Rules DTRs UK Corporate Governance Code and Market Abuse Regulation).
The Company Secretary leads the servicing of the Companys main Board and its committees (including the preparation of agendas and papers for meetings writing of minutes for relevant meetings and following up on action points arising from meetings as well as assisting the Chairman and the other directors generally in performance of their functions) and is also responsible for directing and managing shareholder meetings (including the Annual General Meeting) and representing Group interests in the development of related laws and regulations.
The function also takes a lead role (alongside Compensation & Benefits team within HR) for the Groups share schemes (including the grant and vesting of share awards and maintenance of the Groups share scheme platforms).
The function is also responsible for management of corporate governance and reporting issues associated with the Groups subsidiaries.
Role of the Assistant Company Secretary
Each Assistant Company Secretary will report to the Company Secretary and will support him/her in the general work of the function as required including in relation to the following:
Entity Management:
Maintaining statutory compliance for corporate entities within the Group e.g. corporate record keeping and supporting corporate events/transactions (such as intra-company dividends acquisitions disposals formations and liquidations/restructuring of companies and injections of share capital).
Supporting filings at Companies House including appointment and resignation of directors confirmation statements filing of accounts and special resolutions.
Maintenance of records of directors interests conflicts of interests and related parties registers.
Maintaining the Groups structure chart.
Liaising with the Groups external company secretarial support service providers and taking overall responsibility for the Groups entity management platform (Kube) and supporting other colleagues in maintaining relevant records.
Corporate Governance:
Assisting in the production of the Groups Annual Report and Accounts and other statutory/regulatory reports for Tate & Lyle PLC and as necessary other entities within the Group.
Assisting with the preparation for and holding of the Companys Annual General Meeting.
Assisting with the preparation and release of public announcements by the Group via the Regulatory News Service.
Dealing with maintenance of the Companys issued share capital records.
Liaising with the Companys share registrar in relation to fulfilment of their duties (including the payment of dividends).
Maintaining relevant records of staff requiring clearance to deal in Company shares.
Share Schemes
Undertaking various tasks relating to the Groups share schemes in conjunction with colleagues from the HR function: including grant and vesting of long-term share incentives and launch and maturity activities associated with the Save-As-You-Earn schemes. This will include primary responsibility for matters associated with the Groups share-based incentive management platform (Equate Plus) and the relationship with its provider.
Additional Duties:
Acting as a point of contact with the Secretariat for teams across the business.
Undertaking administrative tasks related to the activities of the Secretariat.
Experience
At least 3 years experience working in a FTSE-listed company secretarial team
Experience of entity management including coordination of external service providers
Experience of using Kube preferable
Experience of using Equate Plus share-based incentive management system preferable
