Job Description

The South West Aboriginal Medical Service (SWAMS) is a non-Government Health Service based in Bunbury which provides a variety of health services to Aboriginal people in the South West of Western Australia. SWAMS delivers a wide range of community programs and has a strong growth strategy through partnership opportunities and future community development.

This position is responsible for maintaining an effective system of corporate governance for SWAMS under direct accountability to and supervision by the Board of Directors. The SWAMS Chairperson may direct the occupant to liaise coordinate and work with the Chief Executive Officer for the executive of tasks particularly relating to preparations for logistics of and the administrative support to meetings of the Board of Directors.

The occupant of this position will provide a high level of advice confidentiality and accountability which may include preparation of Board Briefs as directed by the Chairperson and/or the Board of Directors.

Specific requirements of this position include but are not limited to;

Essential Criteria

  • Previous experience in a Company Secretary role in a comparable not for profit or private sector organisation;
  • Professional qualifications in Board Governance from the AICD or other similar organisation;
  • Have a clear understanding of constitutions including relevant legislative requirements surrounding constitutions;
  • Have a clear understanding of the Corporations (Aboriginal and Torres Strait Islander) Act 2006 and subsequently the Corporations Act 2001 (Cth);
  • Be aware of the statutory requirements stemming from the aforementioned legislation and hold the ability to maintain compliance;
  • Be aware of the procedures governing meetings particularly the ability to ensure constitutional complaints on quorum requirements voting procedures and proxies;
  • Demonstrated ability to take direction determine priorities and manage workloads in order to meet agreed timelines and objectives;
  • Advanced knowledge in the use of Microsoft Office;
  • Strong communication and interpersonal skills.

Desirable Criteria

  • Degree in Business or similar field;
  • Professional membership of the AICD or CSA;
  • Demonstrated knowledge of Aboriginal Community Controlled Health Services and the issues facing this industry.
