Notre client est un acteur majeur de l industrie de la restauration au Canada avec un r seau de plus de 1 000 tablissements travers le pays. En pleine croissance l entreprise mise sur une quipe dynamique entrepreneuriale et engag e pour soutenir son expansion rapide. Dans ce contexte le d partement juridique cherche accueillir un(e) Conseiller( re) juridique principal(e) exp riment (e) pour jouer un r le cl dans les projets strat giques de l organisation.



Responsabilit s principales

  • Diriger et encadrer des transactions complexes de fusions et acquisitions de la v rification diligente la cl ture.
  • R diger r viser et n gocier des contrats commerciaux de haut niveau incluant des conventions d achat d actions des contrats d achat d actifs des ententes de partenariat et autres documents corporatifs.
  • Fournir des conseils juridiques strat giques la haute direction sur des questions de gouvernance de structure corporative et de conformit r glementaire.
  • G rer des dossiers juridiques transversaux en collaboration avec les quipes internes (finance op rations RH TI).
  • Participer l laboration et la mise en uvre de politiques et de processus juridiques internes.
  • Encadrer les ressources juridiques juniors et agir comme mentor au sein de l quipe.
  • Assurer une veille juridique proactive sur les enjeux l gaux ayant un impact sur les activit s de l entreprise.


Profil recherch

  • Dipl me en droit d une universit reconnue et membre en r gle du Barreau du Qu bec ou de l Ontario.
  • 5 7 ans d exp rience pertinente en droit des affaires avec une expertise d montr e en fusions et acquisitions.
  • Solide exp rience en r daction contractuelle n gociation et gestion de projets juridiques complexes.
  • Excellentes aptitudes en communication en analyse strat gique et en r solution de probl mes.
  • Bilinguisme parfait (fran ais et anglais) l oral comme l crit.
  • Capacit travailler de fa on autonome dans un environnement entrepreneurial et en constante volution.
  • Leadership rigueur et sens aigu des priorit s.

Senior Legal Counsel Business Law and Franchising


Location: Montreal Quebec
Job Type: Full-time



About Our Client

Our client is a major player in the Canadian restaurant industry with over 1000 locations across the country. Experiencing rapid growth the company relies on a dynamic entrepreneurial and committed team to support its expansion. In this context the legal department is looking to welcome an experienced Senior Legal Counsel to play a key role in the organization s strategic projects.



Main Responsibilities

  • Lead and oversee complex M&A transactions from due diligence to closing.
  • Draft review and negotiate high-level commercial contracts including share purchase agreements asset purchase agreements partnership agreements and other corporate documents.
  • Provide strategic legal advice to senior management on governance corporate structure and regulatory compliance.
  • Manage cross-functional legal matters in collaboration with internal teams (finance operations HR IT).
  • Participate in the development and implementation of internal legal policies and processes.
  • Supervise junior legal staff and act as a mentor within the team.
  • Proactively monitor legal developments that can impact the company s operations.


Requirements

  • Law degree from a recognized university and a member in good standing of the Quebec or Ontario Bar.
  • 5 to 7 years of relevant experience in business/commercial law with demonstrated expertise in mergers and acquisitions.
  • Strong experience in contract drafting negotiation and managing complex legal projects.
  • Excellent communication strategic analysis and problem-solving skills.
  • Perfect bilingualism (French and English) both spoken and written.
  • Ability to work independently in a fast-paced entrepreneurial environment.
  • Leadership attention to detail and a strong sense of priorities.
