Job Description

Overview

We are seeking a knowledgeable Corporate Governance Advisor to support the VP Senior Corporate Counsel in managing and overseeing our U.S. and Canadian entities. As Corporate Governance Advisor your responsibilities will include ensuring compliance with (insurance) regulatory requirements business laws advising on corporate governance best practices and liaising with internal and external stakeholders. Our ideal candidate has a sound understanding of corporate governance principles business law and insurance regulatory compliance.

Responsibilities

  • Monitor and ensure compliance with state and federal regulations.
  • Develop and implement corporate governance policies and procedures.
  • Advise on and draft all corporate governance materials including governing documents charters agendas resolutions minutes consents and templates of the foregoing.
  • Liaise with internal and external stakeholders on corporate governance and regulatory compliance issues.
  • Conduct reviews of the companys governance practices and recommend improvements.
  • Lead preparation of board and committee meetings and annual member shareholder and board consents.
  • Coordinate board preparation internally working cross-functionally with business teams tax finance HR and others to advise on board matters.
  • Stay up-to-date with regulatory changes and trends related to corporate governance.
  • Train staff on corporate governance principles and procedures.
  • Serve as Super Administrator for governance management system and Point of Contact with Registered Agent.
  • Lead or assist with other projects are requested by management.

Qualifications

  • Proven experience as a Corporate Governance Advisor or similar role
  • Juris Doctor degree (JD) a plus
  • Bachelors degree in Business Administration Law or related field
  • 6 years of experience in corporate or insurance practice at a law firm
  • Management experience a plus
  • Knowledge of corporate governance principles and best practices
  • Familiarity with business law and insurance regulatory compliance
  • Strong analytical and problem-solving abilities
  • Excellent written and verbal communication skills
  • Ability to work independently and as part of a team
