Job Description

Overview:
A nationally recognized law firm is seeking a Mid-Level Associate with experience in Emerging Companies & Venture Capital to join its expanding team. This group advises startup and growth-stage tech companies from inception through M&A as well as the funds investing in them. The team is collaborative fast-paced and works with top-tier innovators across the U.S.

Ideal Candidate Profile:

  • 2 years of ECVC experience at a top-tier law firm

  • Strong transactional background in venture financings M&A and startup counseling

  • Excellent academic credentials and references

  • Strong written/verbal communication and Excel/quantitative skills

  • Ability to manage relationships with internal teams and external clients

  • Admission to practice in WA or ability to waive in

Key Responsibilities:

  • Structure and negotiate financing rounds (SAFEs convertible notes preferred equity)

  • Advise founders on formation equity and governance matters

  • Support M&A transactions and strategic exits

  • Collaborate with VC funds on investments and due diligence
