Lead the companys global Anti-Bribery and Anti-Corruption (ABAC) and Investigations sub-function. Oversee execution of strategy and operational direction of ABAC Investigations E&C Helpline and Conflict of Interest programs. Lead global sub-function and E&C Core and Cross-functional teams to mitigate risk understand legal/regulatory requirements and mitigation strategies and communicate with executive leadership and the BOC.
Design implement and oversee the (ABAC) compliance programensuring adherence to global anti-bribery regulations. (FCPA etc.)
Evaluate ABAC risks and enhance policies/training related to corruption.
Monitor global enforcement trends legal cases and enforcement trends to recommend and implement proactive compliance measures.
Oversee the global compliance investigations process including policies training monitoring and conduct of investigations.
Lead high-profile or complex investigations in collaboration with legal HR and internal audit teams.
Supervise intake triage and resolution of reports received through the ethics helpline and other channels and monitor KPIs and trends.
Lead sensitive/ complex investigations collaborating with Legal and HR.
Develop and implement root cause analysis and remediation strategies.
Manage the Global COI disclosure and management process creating policies training management templates and documentation standards.
Lead the COI Review team partnering with HR Legal and business units to assess potential conflicts and recommend mitigation strategies.
Provide guidance on conflicts related to outside employment board memberships financial interests and personal relationships.
Integrate AI-powered analytics and monitoring to detect fraud conduct helpline case trend analysis and compliance monitoring.
Understand and consider compliance strategies business implications.
Consult with and support GCA team in the mitigation of third-party risks.
Support Corporate Development initiatives in M&A activity requests.
Develop deep connections with internal stakeholders and external government regulators industry groups law firms and third-party experts.
Deliver reports to internal stakeholders executive leadership and BOC.
Lead and mentor Cook employees interested in professional development in compliance.
Conduct and review third-party Intermediary audits.
Minimum Work Experience/Educational Requirements
Juris Doctor Masters in Law (LL.M.) preferred
10 years Law and Ethics and compliance experience preferred
8 years ABAC Investigations and Conflict of Interests experience preferred
E&C professional credential (CCEP CHC or equivalent) preferred
Demonstrated business acumen preferred.
Broad experience in leadership mastery of legal and compliance risks and mitigation best practices preferred
Understanding of third-party due diligence and oversight preferred
Experience in healthcare pharmaceutical medical device or government enforcement preferred
Physical Requirements/Work Environment
On-site Hybrid or Remote work possible
Requires occasional early morning or late evening teleconferences
Some travel may be required including international
Works under general office environment conditions
Sitting for extended periods utilizes close visual acuity for working with computers equipment etc.
