Sr. Director Legal Ethics & Compliance
The Sr. Director Legal Ethics & Compliance is a key position within Winrock International and is responsible for ensuring compliance with laws and regulations and maintaining ethical standards. The Sr. Director Legal Ethics & Compliance serves as the agencys risk management expert internal consultant and change agent with a strategic business focus. The position focuses on monitoring and updating the organizations formal risk governance framework and providing practical solutions to issues and concerns that impact the organizations ability to fulfill its mission. The Sr. Director helps cultivate and foster a culture of ethics and compliance with the laws within the countries Winrock operates and with Winrocks policies and procedures.
The ideal candidate has a Juris Doctor (JD) degree and significant experience in legal practice with a strong emphasis on ethics compliance and risk management. This position is a hybrid role with presence required in either Washington DC area or Little Rock Arkansas.
Organizational Reporting
The Sr. Director Legal Ethics & Compliance will report functionally to the chairman of the Audit and Compliance Committee of the Winrock Board and administratively to the Chief Executive Officer.
Duties and Responsibilities
The Sr. Director Legal Ethics & Compliance is responsible for implementing a coordinated approach for identifying assessing monitoring and reporting on risk throughout the organization managing the risk oversight process for Winrock International conducting internal investigations while ensuring legal oversight within the organization. The Sr. Director Legal Ethics & Compliance not only oversees the risk and compliance function but has direct involvement in the day-to-day investigations and resulting outcomes.
Responsibilities include but are not limited to:
Legal Risk Management & Mitigation:
- Create and implement the annual oversight plan and assess the effectiveness of the organizations risk management strategy
- Enhance and manage the project risk register and lead the annual enterprise risk assessment building on existing
- Provide general legal advice to senior management and other
- Lead and coordinate communication with external legal counsel experts on legal disputes questions and litigation involving the
- Ensure that business decisions comply with applicable laws and
- Advise on corporate governance
- Assist in the preparation and conduct of board meetings and support the Board
Compliance & Ethics:
- Oversee compliance anti-fraud waste and abuse and resolution/follow up
- Foster a culture of ethics and compliance with the laws where Winrock operates ensuring adherence to
Winrocks policies and procedures as well as expectations outlined by the US Department of Justice (DOJ)
- Updating Winrocks established Code of Conduct Values and continuing training and maintenance of high standards of ethics and integrity across the organization.
- Lead and provide guidance on ethical considerations and conduct within the
- Conduct and manage investigations and reports of code of conduct ethics and other non-human resources policy violations.
Monitoring & Reporting
- Establish key risk indicators (KRls) and monitor them regularly.
- Prepare and present comprehensive risk reports to the executive team and
- Report to the chairman of the Audit and Compliance Committee and president/CEO on risk and compliance monitoring activities; anti-fraud waste and abuse; and resolution /follow-up functions.
- Managing incoming hotline reports of concerns and allegations following up on next steps reporting to the Executive Team and Board of Directors on required actions
Requirements
- Juris Doctor (JD) degree from an accredited S. law school
- Minimum of 12 years of relevant experience experience in a business setting or non-profit settings preferred. Experience with US government contracting helpful.
- Experience in ethics and compliance including anti-corruption privacy and internal
- Strong leadership and strategic thinking
- Global travel expected up to 15%.
The Sr. Director Legal Ethics & Compliance will have the following professional skills and competencies:
- Demonstrated experience with risk management within the context of US government contracting.
- Management experience of 10 years.
- Senior level experience and knowledge of risk management best practices in the public and/or private sector.
- Leadership level knowledge of complex risk-related financial analysis techniques applications records and reporting.
- Ability to communicate effectively brief senior management regarding options and recommendations and inspire confidence in those recommendations and decisions.
- Demonstrated ability to lead manage and facilitate change; demonstrated vision to define and effectively manage strategies change structures and change processes necessary to address program priorities of Winrock International.
- Ability to instill trust and confidence; create a culture that fosters high standards of ethics; behave in a fair and ethical manner toward others; and demonstrate a sense of responsibility and commitment to public service.
- Ability to conduct investigations across diverse cultures while demonstrating cultural sensitivity.
Preferred:
- In-depth knowledge of FAR. Certified Compliance & Ethics Professional (CCEP) or similar type of certification
- Ability to quickly develop a strong understanding and knowledge of the major operational functions of Winrock International including the organizations mission and function programs policies procedures rules and regulations.
The salary range for this role is set between $189000 and $225000 with the majority of candidates typically landing within the midpoint of this range there is also a 403B retirement plan available and an excellent benefits package.
