The General Counsels Organization is American Express legal global security and government affairs departments along with the Corporate Secretarys Office (which is responsible for interactions with our Board of Directors). They are responsible for protecting and strengthening American Express through worldclass expertise and strategic advice that help our business partners manage risk identify opportunities and deliver on the Companys promise of exceptional products and services.
How will you make an impact in this role
- Support the Corporate Secretarys Office with respect to subsidiary governance and regulatory reporting matters
- Maintain the Amex subsidiary database including data entry and access management
- Assist in the gathering and validation of source documentation supporting all attributes of the legal entities in the Amex subsidiary database
- Assist in the preparation and filing of regulatory reports including the FR Y10 and FR Y6
- Prepare and manage periodic surveys related to subsidiary tracking and validation
- Prepare and manage periodic subsidiary status reports
- Prepare and manage corporate governance questionnaires and attestations for all legal entities within the Amex organization
- Prepare and manage the surveys that supportregulatory certifications for subsidiary management officials on a global basis (Regulation L)
Minimum Qualifications:
- Detail oriented highly organized and strong ability to work independently without constant supervision
- Strong administrative and project management skills
- Strong typing editing and proofing skills
- Solid interpersonal skills and ability to interact on a global basis with all levels of management
- Reliable thought leadership and good judgment
Preferred Qualifications:
- Bachelors degree
- Demonstrated corporate governance and paralegal experience at a law firm or large corporation including familiarity with Board meetings logistics presentation materials
- Strong proficiency with Diligent (Blueprint) database (or equivalent) Boardvantage (or other secure Board portals) MS Office including Word Excel PowerPoint and Outlook PDF Visio and DocuSign
